Michelex Merges with Hindsight Records Business Wire - March 09, 2005 07:05
MASSENA, N.Y., Mar 09, 2005 (BUSINESS WIRE) -- Michelex Corporation ("Michelex") (OTCBB:MLXO) announces that it has completed the acquisition of Hindsight Records Inc ("Hindsight"), a Californian Corporation located in Massena, New York. Hindsight owns over 9,000 copyrights and masters, some of which are sold at Amazon.com and other stores nationally. Michelex acquired all of the capital stock of Hindsight in exchange for 100,000 shares of Michelex common stock and an $800,000 promissory note in favor of Hindsight selling stockholder and assumption of certain obligations of Hindsight under the convertible debentures in the aggregate principal amount of $1,000,000.
Thomas Gramuglia C.E.O of Michelex, states, "This acquisition fits right into the media division of Michelex and should help secure funding to continue operations and work on growth for the company."

the recent drop was due to dillution from an s-8 with this type of dillution, the drops are normally biggest on the first and last days.

I don't think it actually gapped up today. Missed by 0.002. It closed yesterday at 0.05 and opened today at 0.049. Not that it really matters I guess.

I quickly scaned all the posts, so if someone already mentioned it sorry, but that run up to .079 was a manipulation by a big stock group who's main members frontloads and then gets it's members to go to all the stock boards and pump the shi7 out of it while there selling and some of the newer members get caught holding the bag because the main members keep telling them that it's going back up while there unloading, i owned shares at .04, thought it was unusual it didn't gap, because of the way it ran into the close to .079, thought maybe it was a MM shake, unloaded small amount at .065, found out a little later in the day about the stock group and unloaded the rest, i'm not saying this is not a good company, i would like to buy back in when things settle and the manipulation is over, hopefully in the high 3's, low 4's, if not oh well, this could move up on monday, who know's, scanning through the posts i think some of the members from that group were and are here, and they don't even know they got used and suckered, just a heads up. That's my 1 cent worth because it's not worth 2 cents. Budget

I know of a stock picker that picked this one on Sunday night, at .045 the members of his pick list bought in and it closed at .055 but rarely broke .05 that day.
He asks no one to pump just says what he sees. I'm fairly intune with the "pump groups" so please tell me who ran it. So I can monitor them. Pumps need to be played differently.
Here is the guy that picked it. check the dates and the volume. Also there was no selling into the buying on tuesday. (classic pump n dump technique) also illegal.

The one thing about this stock that I like more than anything else is the thin float. That gives it the potential for strong upward movement. Problem is that it could be just as volatile in the reverse once it reaches resistance. Figured I would take a chance on 10K shares....not a huge amount of $$$$.

Dateline is going to air a story on "Stockgate" on April 10th. I'm sure most of you know this already, but stocks on the SHO list may be mentioned in the segment, which would have a HUGE impact on their PPS in the coming weeks. I wouldn't be surprised if we end up seeing some tenfold increases in some of these stocks.
For a good example of what can happen, look at the two-month daily for GLKCE, which was mentioned at a March 9th hearing on naked short selling. On the 10th there was some activity and on the 11th the stock just ballooned. Even more recently, there is speculation that the stock will be mentioned on the Dateline story about Stockgate, which could send the PPS even higher as MMs refuse to short it.

GLKCE had virtually no volume these last few days. It's moving like that because no one wants to play MM on the stock. Just my opinion though.
Stocks like MLXO they probably have no intention of laying off of either, but you start bringing in government officials and the media and finger Naked Short Sellers as Anti-American for shorting the US small businesses and you got a whole lot of interesting things that could happen.

Dustoff, I don't see much of anything encouraging. Support can always fail. However, I think personally that this one is worth being stubborn on and waiting it out.
I put a sell at .034 hoping to move on today, but it looks like I'll just have to wait for the real pop to occur (if ever).
Why do stocks go down when on the sho list? I'd expect the opposite. Why is it only after they are off that they move?

Hey guys, MSEP was on the SHO for 20+ days. The price tumbled from .09 down to .03 when it finally came off the SHO. I hate the fact that the MM's can overbuy a stock. Did you all sign the shareholder's petition against naked short selling yet? If not here's where you can voice your displeasures.

In this day and age...I don't see why it isn't possible to require every transaction to record the share numbers traded so that they can be tracked and counted electronically for countability. The only thing is, who would want to make the brokers do a thing like that? Certainly not the government employees who own the stock AND make the government decisions like that one....

MLXO must be watched monday morning...Those who bailed out to early will be trying to get back in....Watch for any signs of a positive report about they're delayed earnings report. Due out[[ I think ]]on friday..I am having problems getting a full SEC report...Ameritrade apparently is up-grading or something...The sho list seems to confuse many investors [ including myself ] market forces [ buying pressure ] should level the playing field to our advantage, regarding the sho problem. How many days was this on the sho for? If it was a brief time on there, it shouldn't suffer from it. If it was a longer(2wk+) time on there, it may have scared away some investors for the time being.

i dont know about your old people thoughts, but, you could've easily played poorly on this one, or played very well, being we all started buying around .04 and it hit .08 thats 100% no one got that. But 6 or above was great bank. % wise.
then it comes just shy of 53 week lows, you can buy in mid 2's and it runs to 4 twice.
Great money here. (not for me, i got cash in the pocket and shares on the cheap in case it does run huge, but I did not play it as well as i could have)hopefully there is still more to come.

I owne a ton of GTEL at .07, I was all out around .14 it hit 30+ and still going....bad play.(but not negative)

Strong buy for MLXO. Reason? Here it is: In Nov. MLXO inked a deal with Cornell Capital for a Standby Equity Financing Deal, Cornell then began shorting MLXO Like they do every company the lend to, lending the company money it raised from selling the same company short in the first place, basically lending the company it's own money. Well the CEO was unaware at the time what Cornell was up to and once he found out decided that the company would be better off not using and funds from Cornell, SO HES NOT USING CORNELL CAPITAL FUNDS, And Cornell has shorted MLXO from .20 area to .025, it's on the SHO list for the second time because of it, now that MLXO doesn't want their money, theres gonna be alot of short covering in the coming days/weeks or Cornell will be caught short. Current ask of .035 is way undervalued, all indicators say that MLXO is way oversold.

I think we did alright today considering the rest of the markets, I mean really, the dow drops triple digits, the Nas down over 30 points, S&P almost 14, what can you expect on a day like today, being that we closed with the ask unchanged from yesterdays close we did OK. re CLYP: Actually, if you were watching L2 the beginning of this week when we started moving up into the .04's CLYP moved from .08 to .10 on the ask side (where they currently are). Although CLYP was clearly the seller and played a big role in MLXO's move from .20 all the way down to where we are they are clearly not selling right now.
Current L2 shows only 3 MM's between .034 and .044. 1 @ .034, 2 @ .038 and 1 @ .044.
NITE continues to accumulate @ the bid (Hmmmmm - does NITE see this going much higher - I think so) and the bid is stacked @ .03 - 6 MM's. If you get a chance to pick up cheapies here @ .031/.032 I strongly suggest that you take advantage of this buy opportunity.
If we get any decent volume this will move back up to .04+ quickly IMO. With news expected this week (10K) and follow up PR(s) expected on the CEO's plans to bring the pps back in line to where it should be we should see a steady uptrend from here on out. JMHO & GLTA
Investo, do you think that the CEO may be planning another forward split (1 for 1 perhaps)? The float after a 1/1 fs would still be very reasonable (around 52M shares) and this would create a pps surge prior to the fs (similar to last time with short covering prior to the symbol change and folks wanting in to get the additional shares).
Another approach that Tom may be taking is working with a brokerage firm and showing them how undervalued MLXO currently is. A buy/strong buy recommendation from an independent firm with a .20+ short term target would also do wonders for the pps of MLXO IMO.
This is clearly a no-brainer for me and I see multiple avenues the CEO can take to bring the pps of MLXO back in line with where it should be. A big move is coming soon. I am very confident with this one.

I have talked to some other people into this stock and alot of them are waiting to pick up more shares when the PR comes out and states that MLXO isn't accepting the funds from Cornell. From what i hear.. Some people got shook from the dreaded E and others were not so scared and threw in more money. When the 10k files we will fly for sure and the speculation of the E will be no more!And even if it did get an E it will be gone when they file the 10k.

They are late filing the 10k nobody knows! They haven't been late in 30 years. Apparenly from a friend in another BB talked to the CEO and word is that MLXO has not taken any money from Cornell even since Novemeber when they signed.. Thats great! And they 10k will be comming soon.

This is a post from a good investor in another fourm - I did some digging and it seems MLXO Has a 30 day grace perdiod, thats calendar days, so Tom told me yesterday the 10k would be 10 days late, so it look like they are waiting until the very last day, so I don't think we will see an E. It also appears that Argilus.com is helping them get thru this crap of a deal with Cornell. Tom told me last week that they have not put into motion the plan that they have to get MLXO Back on track, he told me; Give us 2 weeks at the most and you will see what we are doing. So delaying the 10K just maybe on purpose and waiting until the very last day before getting an E, somethings brewing I can tell, I'll bet they come out with a PR at the same time, probably with a new financing deal, speculation of course, and maybe a civil suit against Cornell for manipulation. According to MLXO's last filings and their assets of 15 mil, this company is worth much more than .03-.04 cents, I'll bet they have received some professional consultation on how to force shorty to pack his bags. I am definitely holding and will buy more if it dips inot the .02's again.

Lot of people got burned on this one -- thought they bought the bottom and then the floor dropped. I don't think it will attract buyers until it hugs .020. THEN, I think we will move up past .04 pretty quickly.

The 10k should be 10 days late according the CEO Tom Gramuglia. This stock has been brought down and shorted starting at .20 cents. The E shouldn't make a big difference. The chart looks great something big is gonna happen here. So id start buy in soon. If this is gonna hit big take it where you can guys! Yah im looking to buy more in to keith..but i didn't see an entry i liked. The big press release that will make this fly is not the 10K as much as it is the Press release due that confirms that MLXO is not using cornells funds and is using other sources of funding. That way the stock will not be shorted anymore. This is why i figure the 10K is late. A company that hasn't been late for earnings in 30 years and is a family owned stock, eh i figure that they want to add something into that 10k and im not talking Cornell..

Nope ...i got the E on the end of it today for being late of giving the 10k which the CEO said would be 8 days. Then the release of the funding source which is not cornell will come out. Dual press releases ...that is all we are waiting for.. then it will stop getting shorted and take off

Allrighty then!!! I'm not much into the fundamentals. I find that it F's up my chart reading. It's tough to get an unbias opinion on something if you load your mind with fundamentals. At least for me it is.. However, I like to go that direction after I have torn the charts appart for reinforcement.. I feel this thing is going to get close to .02 before it runs.... I have an order to get more at that level... thanks for the input .. it's hard sometimes to beat these S.O.B.'s alone.. all opinions can be helpfull... Break a leg!!!

maumee river...the way I see it,the money is a little tight through out penny land...People in the past who would load up in preparation for a run just are not doing it......[ build the field and people will come.]...The MM's must know something,,, thats why it is so hard to buy at the bid.....Sometimes you still can't buy at the ask [depending on the size of your order]....We have 100% gainers nearly every day....Soon our time will come , or it won't... If it runs, it may last for several days...I am not going long on anything,,,,,, and I will take profitts and move on..Today I took a ,,60%,, profitt on a stock that ran up another 30%.......I advised peaser to take profitts on a stock he had at about 90% profitts in,,,, and then the stock took off and ran another,, 60%,, ouch!..........These things can ignite and just go nuts.......Or they can stall and drive US nuts!..... I have a hard time trying to figure out the top on these things ,,,thats why I try to sell into strength after I have made a pre-determand % gain...The conservative approach will serve you better in the long haul...End of lecture... hehe

Anyways, he paid me back for telling him to sell MLXO a bit early. We've evened each other now. Well actually not really, he cost me about 3 grand today. I took profits after my stock was up 80% instead of waiting until it went up to 110%. DOH!! Oh well, I was happy with the $1780 taken in profits today.

I dont believe there is such a thing as leaving money on the table. If your stock is going up and you take your profits and get out thats a good trade and you should be very happy with it.
Unless you have a line to Dione Warwick and her psychic friends you cant predict when a stock will stop. If you take your profits at a 50% gain and it keeps going to 100% later you made a 50% gain and thats respectable. Most commercial brokers cant even hit 25% in a year and thats with years of education and training.
Dont ever kick yourself for getting out early. If you made a profit thats all that matters. If you make good trades money will come. A good trade is nothing to regret.
Now lets get moving MLXO so we can make this a good trade...

Wow and you made 80%. Thats the beauty of penny stocks. The poor can become rich overnight but the poor can become poorer.
Peaser the trick in making money in pennystock is once you sell don't look back. No matter how good the stock is don't buy back again. Ofcourse there are few stocks that comesback after the dip but most likely it will continue down. I've learned this the hard way.

I bought in at .031 and I'm at now, with these Wells Fargo news, I don't think the 10K will ever be filed, where is MLXO get the money to pay by the end of the month. There's a lot more trouble with this company, no news, is bad news. Something is very fishy here. BYe, bye MLXOE followers

Michelex definitely agreed to these new terms and they would not have done that if they were not able to make the payments described. Wells Fargo, In My Opinion, Just cut Michelex some "MAJOR SLACK" on the debt, that they owe. This will be a Major Sign for Cornell Capital to get the Shorts out. Michelex has had 28 years of profit out of 33? Well thats a pretty good track record, plus 15 mil in assets, thats why Well Fargo is going easy on them. Wells Fargo people are smart enough to know about Cornell Capitals reputation, and they know that if Michelex used Cornell Funds, they would Probably be paid off right now. Tom G. is using his head for sure, breaking away from Cornell is the best thing he could do. Although to some this may not seem like good news, but I think it's GREAT news. It's gonna be fun to watch what Cornell does now to the Major Short position that they hold, they would be stupid not to cover like right now, lest they get caught short in the teens or .20's. If Michelex finds some good financing right away and Cornell hasn't covered yet, then they can get srewed bigtime. We could see this start to run tomorrow, thats not a prediction, just a guess.

How do you know Wells funded them after Cornell? Isnt it more likely that MLXO looked to Cornell for funding to pay the loan coming due from Wells? Now without Cornell and Wells wanting their money MLXO seems to really be struggling here

I talk alot on investorshub and on chats..this one is the best board ! But what im hearing there are two types of investors those that dont want to wait out for next week and have been holding to long and getting impatient and those that are buying more and more on dips..id be right in there again if i had anymore funds free'd up. Investo7 a great trader i follow on another board is getting ahold of Tom "The CEO" again today, i figure i should call and jsut say what the " " is going on TOM! hahah ... we will see what happens im holding this bad boy!

This company has been profitable for the past 33 years? They were late on the last report because of the new funding going through so they didn't have to have funding from Cornell. Nope he is still in and is trying to add to his position.. He has been talking to tom on the phone and they said that the 10k is in the hands of the accountant.

I pulled out this morning. No 10K so I knew it was gonna drop hard. I'm gonna keep my eye on it though. If they do happen to file a 10K I'll buy back in at this new discounted price.

On it's way back up, name changed to MLXO, still on the OTCBB but nothing on Edgar about a filing. Did they file and we just don't have info yet? back up to .020. The wait for a PR or info on their 10k is driving me insane!
