(GTEM, Trade) today announced that Peter Khoury has been named interim Chief Executive Officer and a director, succeeding Timothy Huff, who resigned from both positions but remains with the Company through the transition period. Mr. Huff's talents will be focused on deploying the technology of GlobeTel in key deployments. In addition, the Company announced that Przemyslaw L. Kostro, former Chairman of GlobeTel Communications, returns to that position in the interim, succeeding J. Randolph Dumas. Independent directors Dorian Klein and Ambassador Ferdinando Salleo have also agreed to resign; their seats on the Board will be filled by Mr. Khoury and Mr. Kostro.

After graduating from the University of Sydney with an Honours degree in Chemical Engineering, Mr. Khoury obtained additional degrees in Computer Science and Business Administration. His career began as a Systems Engineer at IBM. He later joined companies Andersen Consulting and Digital Equipment, where he managed key assignments in the telecommunications, finance and insurance sectors in Singapore, Hong Kong, Japan, Australia and New Zealand.

ITEM 3.02 UNREGISTERED SALES OF EQUITY SECURITIES Beginning on September 6, 2006, Globetel Communications Corp. (the "Registrant") entered into subscription agreements with Hudson Bay Overseas Fund Ltd, Hudson Bay Fund LP, Nite Capital LP, Castle Creek Technology, Double U Master Funder, The Nutmeg Group and Brio Capital LP whereby these investors are purchasing a total $1,075,000 in 7% convertible notes, and were issued the Class A and Class B Warrants described below. The common shares underlying the notes and the warrants carry with them registration rights that obligate the Registrant to register such shares within 30 days.
Under the funding arrangement, the notes are convertible into common stock of the Registrant at $0.36939 per share. Prior to any notice of conversion the Registrant has the right, under certain circumstances, to redeem the notes at a premium for cash, subject to a right to convert by the investor.
The investors will receive one Class A Warrant to purchase one share of common stock for every two shares that the notes were convertible into on the closing date as well as one Class B Warrant to purchase the identical number of shares. The Class A Warrants are exercisable for a purchase price equal to 150% of the market price on the day prior to closing and the Class B Warrants are exercisable for a purchase price equal to 200% of the market price on the day prior to closing. Sanswire 2A Technology Demonstrator Testing Moves Outside Business Wire - October 19, 2006 09:20 First Structural Float Test Performed
PALMDALE, Calif., Oct 19, 2006 (BUSINESS WIRE) -- Sanswire Networks LLC, subsidiary of GlobeTel Communications Corp. (OTC:GTEM) today announced that its Sanswire 2A technology demonstrator completed its first outdoor, low altitude, float test. During the first float, the structural integrity and overall balance of the airship were tested in uncontrolled atmospheric conditions.
Sanswire expects to test the airship over a period of at least 90 days. The testing will be performed to evaluate the entire integrated airship system. The first test of the structural loads and lifting qualities has been completed and will soon be followed by further airframe tests to ensure airship readiness for a dynamic flight environment. Upon installation of the avionics suite and propulsion system, a series of low altitude tethered tests and then, a series of high altitude tests will take place. At each stage of testing, Sanswire's engineers will evaluate the airship's flight qualities to determine if the airship is working within its design parameters. Throughout the systems testing data will be analyzed to qualify the airship design, with redesign accomplished as needed.
Peter Khoury, GlobeTel's interim CEO, stated, "In the past, the Company has tried to give its shareholders milestones on the progress of Sanswire, but this has been difficult given the nature of aerospace projects and the unique set of program objectives. The Company's goal is to provide its shareholders with current information in a format that does not set unrealistic expectations or assumptions for a cutting edge aerospace program. The Company intends to announce the completion of each test stage, and following the completion of the low-altitude tethered flights, free-flight tests at the Air Force Test Range at Edwards Air Force Base will ensue. Additionally, Sanswire is preparing to file provisional patents covering the intellectual property associated with the airship, and upon accomplishment of that objective, a priority for the Company, it will organize an invitational media day, presently anticipated for late October.

"The combined rigid hull/envelope structure behaved according to design resulting in a successful test during its first float outside of our hangar. Dear Fellow Shareholders,
Since our last letter to shareholders, CEO Peter Khoury and I have begun to implement several changes within GlobeTel that will work toward restoring confidence in our Company. Our aim is a leaner, stronger, more competitive company focused on delivering shareholder value and results by improving our efficiency and follow-through, and substantially reducing the burn rate.
Over the past few years, our Company was structured to support multiple business channels to achieve the completion of the SuperHub(TM) concept. We still consider the SuperHub(TM) a worthwhile long-term pursuit and a long-range objective, but are most concerned right now with the present-day opportunities that are within our reach, such as those within wireless, VoIP and Stratellite(TM) deployment. We've redirected our energy toward our core competency in engineering the best ways to deliver telecommunications.
In terms of distinct operational changes, restructuring our financial reporting process and the department responsible for these crucial functions is our top priority. We're installing a new reporting structure together with personnel changes. We believe that restructuring our financial reporting functions will have a beneficial effect on the efficiency of the entire organization through increased company-wide fiscal accountability. Related to this matter, in a Form 8-K filed today with the Securities & Exchange Commission, we announced that Lawrence Lynch was no longer the Company's acting Chief Financial Officer.

Telecommunications Developer GlobeTel Communications Corp. Sells MagicMoney Program Business Wire - November 08, 2006 12:36
FORT LAUDERDALE, Fla., Nov 08, 2006 (BUSINESS WIRE) -- GlobeTel Communications Corp. (OTC:GTEM) today announced that it has sold its MagicMoney stored value card division to Gotham Financial, LLC.
Under terms of the agreement, Gotham acquired substantially all of the assets, which include the stored value program, financial processing switch and contracts, and assumed the liabilities of MagicMoney. GlobeTel will receive a revenue share over a period of years as payment.
Peter Khoury, Chief Executive Officer, stated, "The sale of MagicMoney provides us with three distinct benefits: focus on our core business; lowering our expenses and the ability to continue to participate in the stored value business if we so desire. It is our intention to focus our attention on our core competencies in the wireless, VoIP and traditional long distance segments, as well as on the continued development of near-space solutions to deliver voice and data. We expect to realize annual savings of about $1.3 million, not including additional capital expenditures that were anticipated. As mentioned in Przemyslaw L. Kostro's November 2 letter to shareholders, our priorities are to reduce our burn rate and to use our resources efficiently for the delivery of telecommunications. The sale of MagicMoney is consistent with those priorities."

In addition to reducing our burn rate, the transaction contemplates the Company's continuing participation in MagicMoney through revenue sharing over three years with a possible extension to six years, if certain minimum payments are not made during the initial term. Revenues earned by GlobeTel will be based on the successful rollout of the platform by Gotham and on user fees following a formula that considers the total number of transactions on a Stored Value card and use of the card at any ATM, POS or other transaction, under closed and committed contracts GlobeTel had at the time of sale, and the number of transactions utilizing the Financial Processing Switch.
Thought this was one of the profitable portions of GTEM. Don't think it is a good sign that they sold it off.

New President Named for GlobeTel Wireless Europe GmbH

(GTEM, Trade ) announced that Sigwald Leder was named President of GlobeTel Wireless Europe GmbH (GTWE), a subsidiary of the Company's GlobeTel Wireless division. Mr. Leder replaces Klaus Bonn, who left the Company on October 31.
Mr. Leder joined GTWE in October 2006, having previously worked with GlobeTel Wireless president Uli Altvater at Altvater GmbH Systementwicklung. He was a member of the system engineers group, where he designed and managed computer networks. Later, Mr. Leder formed his own company in which he built and managed networks for small and mid-sized businesses, and provided a suite a telephony services. (GTEM, Trade ) today announced that the Board of Directors has decided to delay the filing of the Company's third quarter report on Form 10-Q beyond November 19, 2006 and conduct a comprehensive review of the Company's accounting policies.
The Company had previously stated in its notice of late filing filed with the SEC, that it was delayed in filing its 10-Q due to issues related to the recording and carrying amounts of assets acquired in certain transactions that could lead to a restatement of prior financial statements.

(GTEM, Trade ) today announced that it has successfully built and deployed a HotZone 4010-based wireless broadband network within a city northeast of Mexico City, Mexico, and has begun to service customers through the network.
"The Company began offering Internet services on the network in conjunction with an introductory promotion to residential users within the network's cloud," stated Peter Khoury, Chief Executive Officer of GlobeTel Communications. "We experienced a favorable response rate and we are optimistic that these products and services will continue to be well-received through the extension of this network, and other HotZone-based networks in Mexico."
Khoury continued, "The low cost of customer acquisition allows us to provide service at a rate competitive with the existing Internet access services in the area, plus the addition of enhanced services such as higher download speeds. The network has been operating with users since mid-October and has performed to Tier 1 specifications providing 99.9997% network availability calculated on a monthly basis.

Murch, Lieutenant Colonel, USAF (Retired), has been named President of its wholly owned Sanswire Networks LLC subsidiary, succeeding Bob Jones who resigned.

As Director of Test, Integration and Launch for the National Missile Defense programs, Deputy for Test and Integration for the B-2 Stealth Bomber, Test Manager of 41 avionics/armament test programs for the International F-16 Fighting Falcon, and as an experienced Flight Test Engineer in the F-15 Eagle, F-15E Strike Eagle, and T-38 Talon, along with other aircraft, he brings in depth knowledge of engineering development and test from his work with a large number of DoD, DOE and NASA aircraft, missile and space-related systems and facilities.
Additionally, his experience includes the effective engineering management of a number of large technical teams involving over one hundred technicians, engineers and contractors in support of over 25 development programs at a time. Able to inspire with vision and drive, he built innovative technical teams from scratch that created the foundations for new programs and advances in technology.
Colonel Murch earned a Bachelor's degree in Physics at the University of Hawaii, a Bachelor's degree in Electrical Engineering at the University of New Mexico and a Master's Degree in Public Administration at Golden Gate University. For the past several years, he has also served as pastor of a church in Santa Maria, California with a particular emphasis in mentoring and redirecting young people into adult life success.

Using the airship as a communications platform, invited guests from government and industry accessed the Internet, made VoIP telephone calls with cordless DECT telephones, and viewed a live video surveillance feed. Sanswire, a subsidiary of GlobeTel Communications Corp. (Pink Sheets:GTEM) is now positioned to advance the 2A to its next phase of testing, which includes untethered flight testing at Edwards Air Force Base.
The test commenced at approximately 8:00 a.m. Pacific time under mostly clear skies with winds out of the south at approximately 3 mph, providing ideal testing conditions. The airship contained GlobeTel's proprietary HotZone 4010 technology, with Wi-Fi, WiMax and VoIP over DECT capabilities within one unit. The HotZone provided wireless broadband coverage for the invited guests, who also tested the system by using a DECT standard cordless phone to place calls that were routed through GlobeTel's StrateVoIP voice over IP platform. In addition to providing internet access and telephone service, the Sanswire 2A provided a real-time video surveillance feed from a remote control camera attached to the airship.

(Pink Sheets:GTEM) and VPN de Mexico S.A de C.V. today announced that they have signed an agreement pursuant to which they will form a joint venture, to be 51% owned by VPN and 49% owned by GlobeTel, to build and operate wireless broadband networks throughout Mexico based on GlobeTel's proprietary HotZone(tm) technology.

Although this is good news, as is the Mexican joint venture agreement that was just filed, the price moves will be relatively small until the cloud of the SEC investigation is resolved IMO.

It'll probably be a long, long time before GTEM gets better. I think that a negative finding will come out of the SEC investigation which will seriously depress the stock price. If so,even with further successful flights of the SANSWIRE II it'll take a year or more to get back the loss.

GTEM was one of the very first stocks I bought, back when it was GTEL. In fact, my original screen-name was "HoldingGTEL".
I think the idea of Stratellites is a good one, and that they definitely will have a role in the future of telecommunications, but I agree with Edster1 and Pagan. This one won't move up much until after the SEC investigation is over. IMO, expect a big drop in PPS when those results come out.
Timothy Huff and others involved took a good idea and ran it into the ground with false PR's and promises. For the time being I won't touch this one with a 10 foot pole.
For those interested in picking up this stock, here is a link to one of the original GTEL.OB/GTE/GTEM.PK thread on Allstocks. If you manage to read through the entire 64 pages, you will see why some are hesitant to play this one, despite the good news that has come out lately from GTEM regarding the Stratellites.

(Pink Sheets:GTEM) today confirmed the completion of production of the first set of 70 HotZone radios to be used for the expansion of its previously announced wifi broadband network in Pachuca, Hidalgo, Mexico.
The Pachuca network was originally constructed in a zone within the city in September 2006 as a pilot network to prove GlobeTel's proprietary HotZone technology to its contemplated joint venture partner. After successful ongoing operation, GlobeTel's partner accepted the network and agreed to structure a joint venture to deliver the HotZone technology to multiple markets within Mexico. GlobeTel and Independent Auditors Disengage FORT LAUDERDALE, Fla., March 28, 2007 (PRIME NEWSWIRE) -- GlobeTel Communications Corp. (Pink Sheets:GTEM) today announced that McKean, Paul, Chrycy, Fletcher & Co., which had been appointed by the Company's former Audit Committee as its new independent auditor, will not be accepting the engagement. FORT LAUDERDALE, Fla. and MEXICO CITY, Apr 3, 2007 (*********wire via COMTEX) -- GlobeTel Communications Corp. (Pink Sheets:GTEM) and VPN de Mexico S.A. de C.V. (VPN) today announced that they have consummated an agreement to establish a joint venture, 51% owned by VPN and 49% owned by GlobeTel, to build and operate wireless broadband networks in Mexico based on GlobeTel's proprietary HotZone(tm) technology. Despite having the highest percentage of personal computer penetration in Latin America, Mexico has one of the lowest rates of penetration for high speed Internet access. The joint venture, No Mas Cables de Mexico, S.A. de C.V., will help fulfill a critical need within Mexico for more widespread broadband and telephony availability.
No Mas Cables de Mexico expects to build networks that will serve urban areas with a target customer goal of 250,000 customers within the first three years of operation. VPN and GlobeTel anticipate No Mas Cables de Mexico will start producing net income during its sixth month and would become cash flow positive by the end of the first 12 months.
Under terms of the agreement, initial working capital has been infused into No Mas Cables de Mexico, with each partner's contribution proportional to their ownership stake in the joint venture. The initial working capital will be used to continue construction of wireless networks using GlobeTel's products and intellectual property. This amount is consistent with the preliminary business plan and financial model structured and agreed upon by both partners.
Networks built by No Mas Cables de Mexico will be based on the Company's proprietary HotZone 4010 WiFi technology.
This agreement was pursuant to the successful testing and startup of operations of an initial broadband wireless network in Pachuca, State of Hidalgo, Mexico. Construction of the Pachuca network commenced in mid-September 2006 and began serving wireless broadband customers in October.

GlobeTel Communications Provides Operational Update to Shareholders

(Pink Sheets: GTEM) today announced that it has embarked upon a significant realignment of its business goals and corporate structure commencing with the thrust of critical objectives for the Sanswire Stratellite program, a restructuring of GlobeTel Wireless, the winding down of the operations of its wholesale carrier division, Centerline Communications Corp., and a pressing commitment to bring its financial filings up-to-date.
"It is imperative that our focus targets the timely pursuit of Sanswire's Stratellite, low and mid altitude airship opportunities, and the continued construction of wireless broadband networks, such as that in Mexico," stated GlobeTel Communications Corp. Chief Executive Officer Peter Khoury. "We have been simplifying our focus with the intent of exploiting our developed intellectual property in the near term."
The streamlining began with the sale of the Magic Money division in November 2006, shortly after Mr. Khoury was appointed CEO. It continued with the re-evaluation of the then-current projects and pilots and the decision to not pursue any of these. Today it culminates with winding down Centerline, including the pursuit of plans to sell or redeploy parts of its infrastructure and the restructuring of GlobeTel Wireless.
GlobeTel Wireless will now be focused on sales efforts and the construction of broadband wireless networks in areas currently underserved by phone companies and cable companies which fail to provide adequate broadband internet access whether in the United States or abroad. In order to facilitate this change, we have engaged Uli Altvater, former President of Globetel Wireless, as a consultant to provide additional engineering and manufacturing support enabling the concentration on our core competencies. We have also taken steps to close our German operations by placing our German subsidiary under creditor protection. The German network did not meet our commercial expectations, and the cost and expense of maintaining our presence in Germany had become prohibitive.
Through our continued testing of Sanswire 2A Technology Demonstrator we have identified opportunities for a low to mid-altitude platform based on the Sanswire 2A. The new platform, SkySat, will fill the gap between tethered aerostats currently in use and the Stratellite high altitude airship designed to maintain and altitude of 65,000 feet. The SkySat is being designed to operate at an altitude of 8,000 to 15,000 feet and to maintain the station for up to 10 days.

GlobeTel Delivers First Order of HotZone Equipment to Extend Joint Venture No Mas Cables' Coverage in Mexico

(Pink Sheets: GTEM) (the "Company") today announced that 83 HotZone 4010 devices and accompanying antennae were shipped to the Company's No Mas Cables de Mexico (NMC) joint venture. The equipment is being used to extend NMC's wireless broadband network, envisioned to cover communities located between the city of Pachuca, State of Hidalgo, Mexico and Mexico City, Mexico.
Between six and twelve HotZone 4010 devices are capable of covering one square kilometer of area, depending on conditions within the area including landscape, density, water content and existing noise within the usable spectrum. When installed in a contiguous pattern, the HotZone devices form a seamless wifi broadband "cloud."
"We've already begun to benefit from outsourcing our manufacturing to OEMs, who will help us ensure that the demand for HotZone equipment will be met quickly and accurately," stated Peter Khoury, Chief Executive Officer of GlobeTel. "In addition to the benefit of supply fulfillment at a fixed cost, OEM relationships are expected to save the company nearly 50% of the costs associated with our wireless activities, and free up our staff to pursue additional markets and opportunities."
Given the surgical way the HotZone technology can be installed, the plan includes covering areas within the heavily populated Mexico City . Pachuca corridor that are commercially viable, including the two middle-class communities (an aggregate 14,000 households) with very poor Internet penetration for which this lot of HotZone equipment was shipped. NMC was formed by GlobeTel and VPN de Mexico in April 2007 to build wireless broadband networks within Mexico. NMC expects to serve approximately 250,000 wireless broadband customers by the end of its third year of operation.

I think the time is approaching for some new flip opportunities. Restated financials to be out soon. Company IR says they will become current on reporting in August. Mexican buildout seems to be progressing as well. End to the SEC investigation should coincide with restated/current financials. Looks as though downside has been priced in. Seems to have bottomed in low .20's on low volume over last 30 days. I'll picking up some flip positions in this range for potential swings. Just IMO of course. GL!
