ITEM 4.01. CHANGES IN REGISTRANT'S CERTIFYING ACCOUNTANT On February 1, 2006, American Water Star dismissed Weaver and Martin LLC as its independent auditor and appointed L.L. Bradford & Company, LLC, as American Water Star's independent accountants for the years ended December 31, 2004 and 2005. This is a change in accountants recommended by American Water Star's Audit Committee and ratified by American Water Star's Board of Directors. L.L. Bradford & Company, LLC was engaged by American Water Star on February 1, 2006. During the most recent two fiscal years and the portion of time preceding the decision to engage L.L. Bradford & Company, LLC, neither American Water Star nor anyone engaged on its behalf has consulted with L.L. Bradford & Company, LLC regarding (i) either the application of accounting principals to a specified transaction, either completed or proposed; or the type of audit opinion that might be rendered on American Water Star's financial statements; or (ii) any matter that was either the subject of a disagreement (as defined in Item 304(a)(1)(iv) of Regulation S-B) or a reportable event.
The audit reports issued by Weaver and Martin LLC with respect to American Water Star's financial statements for December 31, 2004 did not contain an adverse opinion or disclaimer of opinion, and were not qualified or modified as to uncertainty, audit scope, or accounting principles. From February 24, 2005 through February 1, 2006, when Weaver and Martin LLC was dismissed as American Water Star's independent accountant, there were no disagreements between American Water Star and Weaver and Martin LLC on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of Weaver and Martin LLC would have caused it to make a reference to the subject matter of the disagreement in connection with its audit report.
The Company has provided a copy of this Current Report on Form 8-K to Weaver and Martin LLC and requested Weaver and Martin LLC to furnish it a letter addressed to the Securities and Exchange Commission stating whether Weaver and Martin LLC agrees with the statements made by the Company and, if not, stating the respects in which it does not agree. A copy of this letter, will be filed as Exhibit 16.1 by amendment to this Form 8-K.

June 24, 2006 — There's a whole new way for smokers to get a fix — a lemon-flavored drink laced with nicotine.
Nic Time, the company that makes Nic Lite, says its meant to tide over smokers when they can't light up on a plane or a bar. But critics say it could be one more way for young people to get hooked.
An 8-ounce bottle contains the same amount of nicotine as two cigarettes. Nic Lite was first available at Los Angeles International Airport for smokers who get fidgety on flights. Now, some convenience stores also stock it.
The company's Web site says it would also like to offer Nic Lite in bars, since more and more of them are smoke free.
Nicotine gum and the patch are supposed to help people quit smoking, but Nic Lite is marketed as a way to get you through until you can smoke some more.
While the FDA regulates the gum and patch as drugs, Nic Lite is classified as a dietary supplement. That means it was able to get to market without any oversight. The FDA can only take action if it's found to be dangerous.
"Somehow the FDA has either been fooled or has made another of a long line of bad decisions over the last 10 years or so," said Sidney Wolfe of the group Public Citizen.
Addictive Drink
Even though it worries some critics, Yale Medical School professor, Dr. David Katz said Nic Lite will probably not be as big a hit as other cigarette substitutes. He also said it is less addictive than cigarettes.
"The biggest difference is that the gum and the patch are used to help you quit smoking," he said. "When we ingest something, most chemicals that get into the blood stream go through the liver and that sort of filters those chemicals out. So there tends to be less of an effect when you ingest something than when you smoke it or absorb it through the skin. So it's going to be less intense and less addictive by mouth than if you smoke it or wear the patch. But don't let that fool you — you still get the nicotine hit. That's why the gum, which in essence is ingested, works." Page 2 of 2)
Katz said that Nic Lite is not a dietary supplement but a drug, and the FDA should regulate it as such.
"You're basically putting a drug in a soda can," he said. "Calling it a dietary supplement is ridiculous."
Nic Lite's manufacturer did not return ABC News' repeated calls, but the company's Web site says the drink helps curb disruptive smoker behavior and that it's the other ingredients in cigarettes that are harmful — not nicotine. But the government lists nicotine as a highly addictive drug, with withdrawal symptoms similar to cocaine.
"The carcinogen is in the smoke," Katz said. "So nicotine is a nasty thing — but it's not a cancer-causing agent. It's got a bunch of other things that make it something you don't want to put in your body, but it's not going to give you a lung tumor. Secondly, it's better than smoking for a major reason — there's no second hand smoke that is going to hurt bystanders."
Nic Lite is labeled for people 18 and older. ABC News sent a young-looking —but not underage — intern shopping. Out of six stores she visited around Los Angeles, only two asked her for I.D., even though California law forbids the sale of any nicotine product to minors. Wolfe worries that the drink will create a new generation of addicts who may turn to cigarettes later.
"They know that once people start buying this, whether they're smokers or not, they may well become addicted and they've got a long-term customer," Wolfe said.
Accessible to Kids?
Katz said that the FDA recently rules against selling the morning after pill "Plan B" because the agency argued that it couldn't be sure it would keep the pill away from people under 16 years old.
"Yet the FDA is okay with putting a nicotine drink on the market — over the counter, if you will — and somehow thinks we can keep it out of the hands of kids," he said. "The FDA is talking out of both sides of its mouth. You either can keep things out of kids' hands or you can't. And I happen to believe that kids are going to want the nicotine drink a lot more than the morning after pill."

On behalf of the Campaign for Tobacco-Free Kids ("Campaign") and Public Citizen Health Research Group ("Public Citizen"), we are writing to urge the Food and Drug Administration ("FDA") to direct Nico Worldwide, Inc. ("Nico Worldwide") to immediately cease marketing "Nic LiteTM," a bottled water product containing significant amounts of highly addictive nicotine (two cigarettes worth per 8 ounces), and to initiate an appropriate enforcement action against Nico Worldwide. Although FDA informed Nico Worldwide on June 29, 2006 that Nic LiteTM is an unapproved new drug, not a dietary supplement, Nico Worldwide continues to illegally market and sell Nic LiteTM as a dietary supplement. As described below, since Nico Worldwide has continually and willfully flouted FDA's consistent rulings that bottled water containing nicotine is a drug, not a dietary supplement, including FDA's ruling on July 1, 2002 to this effect, and has continued to mislead consumers regarding the nature and safety of Nic LiteTM, we also urge FDA to initiate an investigation into whether Nico Worldwide should be prosecuted criminally. . . .
The websites describe Nic LiteTM as a dietary supplement, provide names of retailers who sell Nic LiteTM and assert a series of drug claims (e.g., nicotine can improve learning and has potential for treating Alzheimer's disease). Even the structure/function claim at issue in Dr. Frankos's letter still appears on Nico Worldwide's websites (i.e.. "There is substantial evidence that nicotine is present in certain human foods."). The websites also make unsubstantiated claims about the safety of nicotine, going so far as to describe it as "almost absolutely safe."
Given Dr. Frankos's letter, there can be no dispute that, as of June 29, 2006, Nico Worldwide was on notice that it was marketing and selling Nic LiteTM in violation of the Act.

Washington, DC - The Campaign for Tobacco-Free Kids and the Public Citizen Health Research Group today wrote to the Food and Drug Administration (FDA) to urge the agency to immediately stop the marketing of “Nic Lite,” a bottled water containing significant amounts of highly addictive nicotine. Each 8-ounce bottle of Nik Lite contains the same amount of nicotine as two cigarettes. The letter from the organizations urges the FDA to immediately initiate enforcement action against the manufacturer, Nico Worldwide, Inc.
The FDA informed Nico Worldwide, Inc. on June 29, 2006, that Nic Lite is an unapproved new drug, not a dietary supplement, yet the company continues to mislead consumers regarding the product. The Campaign for Tobacco-Free Kids and Public Citizen also urged the FDA to investigate whether Nico Worldwide, Inc. should be prosecuted criminally.

The Complaint Two consumer groups -- the Campaign for Tobacco-Free Kids and Public Citizen's Health Research Group -- have asked the Food and Drug Administration (FDA) to stop online sales of Nic Lite, a lemon-flavored, nicotine-infused water made by Nico Worldwide, a company based in Oxnard, Calif. Nicotine is an addictive chemical that makes tobacco habit-forming. In 2002 the FDA forced two other companies to stop selling their nicotine-laced waters after finding that the products were untested drugs, not dietary supplements, as claimed. Dietary supplements do not require safety and efficacy testing and are only loosely regulated by the FDA.
The Product Nic Lite is said to contain 2 milligrams of nicotine (about two cigarettes' worth). But its exact contents can't be confirmed, says Matt Barry, director of policy research for the Campaign for Tobacco-Free Kids, because the product has never gone through formal testing. Barry said he drank a bottle of Nic Lite that he ordered online and felt no effects -- ill or otherwise. But he argues that consumers "should have an assurance that they aren't going to get sick from it."

Nico Worldwide CEO J. Robert Knight said Nic Lite is safe and effective in helping adult smokers cut back or quit. Knight called the water "an alternative method of delivering nicotine," ideal for smokers who can't get through a flight without lighting up.
The Upshot In a late June letter to Nico Worldwide, the FDA ruled that Nic Lite is not a dietary supplement, but an unapproved new drug that requires safety and effectiveness testing. Knight said the letter was a surprise to him because the company has a certificate from the FDA granting it the right to sell the product. I thnk this product may see stif resistance from the buying community,,,IMO, as a smoker I am all for it,,,there is most definitly a market for the product. Wait amd see I suppose
