I bought into this a couple days ago on a chart play basically, still doing DD. I think they do have a recent filing for possible dilution, but as we have seen. that still doesnt stop these from running, the chart looks interesting coming off a bottom and held very strong eod last two days. could be good for .01 plus imo
Filed a 424B3 11/20/06 for This prospectus relates to the sale of up to (i) 7,800,000 shares of our common stock by Brittany Capital Management Limited, which shares may from time to time be issued pursuant to our Private Equity Credit Agreement dated September 14, 2006 (the “Private Equity Credit Agreement”) and (ii) 63,636 shares of our common stock issued to Econ Corporate Services, Inc.
424B3 Final prospectus filed pursuant to Rule 424(b)(3). This is a preliminary filing warning of future dilution. The shares cannot be sold into the market until they are registered, usually done via a SB2.
If you recall VSNI, which just ran from .012 to .04. (HOD today - .04), also had a 424B3 filed as future dilution 23,896,827 Shares of Common Stock, with an O/S of : The Company had 38,430,385 shares of Common Stock, $ 0.01 par value per share, outstanding as of October 31, 2006.
Someone asked another poster on the VSNI thread why he would buy a stock that was poised to dilute. I say why not? They will run it to get their profit before it dilutes. If that isn't a good enough reason, then how bout a stock with a potential O/S of 39M even after the 7.8M dilution.

I have to admit that i look at filings all the time, but i am not the best at interpreting them. trying to find the time to get better though, I focus more on charts, but.. it really pays off to stay up on the companies filings and be able to interpret them quickly. this has really come down hard, trading at 2.00 a share plus around a year and a half ago. still DD'ing, but what a drop. company seems undervalued at these levels
Still only a potential 114M O/S. True, the SB-2 shares can be sold into the market, but I still think it sees gains before then. I bought at .0051, and it closed at .007 today for a 37% gain,, and holding for more soon.

Here's a post of mine posted on the BANY thread :
"Pennies are just amazing !
484,281,357 Number of shares of common stock outstanding as of November 10, 2006.
Stockholders’ equity:
Preferred stock: The Company has 1,000,000,000 shares of no par value preferred stock authorized. Common stock: The Company has 5,000,000,000 shares of no par value common stock authorized. At September 30, 2006, there were 363,281,357 shares issued and outstanding. The Company had 55,875,000 outstanding options and 67,646,250 outstanding warrants.
With an open SB-2 for 2 billon shares from 4/20/06. We know it has not all been sold into the market yet, because there are only 484,281,357 as of 11/10/06 by virtue of the Form 10. The O/S previous to the SB-2 being filed was Number of shares outstanding of issuer’s Common Stock, no par value outstanding as of April 12, 2006: 210,148,313
How a stock runs for 400%+ with a potential O/S of 2.2 Billion is just amazing to me. Wish I could be that brave.
Good luck! Great job! "
Now if BANY can run a 1000%+, with an open SB-2 for 2 billion shares I think a mere 83M that seemingly is long term in nature shouldn't hurt GBMR's chances of having substantial gains. (When I posted on the BANY thread it had only seen a 400%+ gain, did the other 600% today).

looks like ARCA doesnt want to dilute below .007, for now at least. someone took out the bid, and the support just bailed. not sure what to think about this one. I guess chances are it could go to .005 again, but this sucker is beaten up bad at those levels.
i'll hold.. avgd at .006 and a little under.take my chances.
