AMEP, oil co., bouncing on dip after final merger news...big blocks just went through...good support at this level.

American Energy Production Inc. Announces Final Agreement to Acquire Oil America Group Inc.

MINERAL WELLS, Texas, Nov 9, 2004 (BUSINESS WIRE) -- American Energy Production Inc. (OTCBB:AMEP) announced the completion and signing of a definitive agreement to acquire all of the outstanding stock of Oil America Group Inc of Dallas. The transaction was structured as a stock for stock exchange with AMEP acquiring all of the issued and outstanding stock of Oil America Group. Under the terms of the agreement the stock received by the Oil America Group stockholders will be restricted from sale for a period of one year.

Charles Bitters, President of AMEP stated, "The acquisition of Oil America Group provides a strong link with our oil and gas operating investments. Oil America Group gives us an established office in Dallas along with financial and geological resources to launch programs to explore and develop the oil and gas properties that have been accumulated by our wholly owned investee Bend Arch Petroleum."

Oil America Group will sponsor drilling and re-development programs on much of the more than 8,000 acres of oil and gas mineral leases held by Bend Arch Petroleum Inc., in the lucrative Barnett Shale formation area.

Oil America is currently sponsoring the Padgett Ranch Limited # 1 Re-entry Program. The partnership will supply as much as $1,000,000 to re-work the existing oil and gas wells on the Padgett Ranch Property owned by Bend Arch Petroleum.

"Favorable market conditions along with existing sales contracts and gas pipeline in place make the Padgett Ranch re-entry program a practical low risk prospect for the Oil America Group investors," said Joe Christopher President of Oil America.
