DENVER, CO -- (MARKET WIRE) -- 02/11/04 -- Nighthawk Systems, Inc. (OTC BB: NIHK), a provider of intelligent remote power control equipment and services, today announced that its three largest shareholders have completed the transfers of shares necessary to activate an 18-month lockup of their remaining shares. The lockup provision is part of an agreement between the Company and a former director, Herb Jacobson, and his wife, which was originally announced on January 7, 2004.
The agreement also includes their son, Steve Jacobson, the former CEO of Nighthawk. The Jacobsons, who founded Nighthawk, collectively own or control approximately 30% of the Company's outstanding common stock.

Nighthawk Systems Signs Sales Agreement With Utility Industry Distributor
I hope that each of you that receives these emails from me is getting the sense that the Company is moving forward, taking tangible steps to increase awareness not only of its products, but also of the Company itself. That is indeed happening on a daily basis. The relationship with Irby announced today is a great example of how a sustained effort can begin to build on itself. Back in November, we announced that we had sold our whole-house disconnect units to 4-County Electric Power Association in Columbus, Mississippi. This announcement was published in a Mississippi Business Journal and caught the eye of Stuart C. Irby Company. Irby is a well established, well organized distributor throughout the Southeast. They called us because they believe they can sell our products to their existing customers. They have existing relationships with utilities that control 15% of the electric meters in the U.S., and they want to sell our products to them.
