Agreement WHITTIER, CA -- (MARKET WIRE) -- 05/24/04 -- POP N GO, INC. (OTC BB: POPN) announced today the execution of a Standby Equity Distribution Agreement with Cornell Capital Partners, LP that allows Pop N Go, at its option, to issue shares to Cornell Capital Partners, LP for up to a maximum of $5 million. Under the terms of the Agreement, Pop N Go may, at its discretion, issue shares to Cornell at any time over the next two years. The maximum aggregate amount of the equity placements pursuant to the Agreement is $5 million. The Agreement is subject to an effective registration with the SEC. Spencer Clarke, LLC, a prominent New York based investment banker sourced the transaction.
