Vertical Computer Systems, Inc. Acquires the Remaining Interest in its Subsidiary NOW Solutions

AUSTIN, Texas, Feb 23, 2004 /PRNewswire-FirstCall via COMTEX/ -- Vertical Computer Systems, Inc. (OTC: VCSY) is pleased to announce that it now owns 100% of its subsidiary, NOW Solutions, LLC (NOW) by acquiring the ownership interest of its two minority members. Additionally, pursuant to a settlement agreement with one of its minority members, Arglen Acquisitions, LLC (Arglen), the existing arbitration as well as all other legal actions related to Arglen and VCSY and their related parties have been or are being dismissed. According to Richard Wade, the President and CEO of VCSY, "the successful acquisition of the minority interest of NOW and the dismissal of all the legal disputes with Arglen will allow VCSY to get back on track with its objective of marketing its proprietary products, SiteFlash, ResponseFlash, NewsFlash, and Emily, and making NOW a leader in the human resource-payroll software market."
