BizTeam Products and Services:
Payroll Processing -- A comprehensive, Internet-based payroll service featuring real-time payroll processing. Clients will simply enter their information via the Internet and BizTeam will process the payroll in real time with an e-mail notification and confirmation. Clients will also be able to choose automatic deposits, electronic tax payment and online reporting for an additional charge.
Group Insurance -- BizTeam will provide support for benefits administration, including group health insurance and workers compensation insurance, employment acquisitions, performance reviews and salary history. The service will also provide current news and information pertaining to human resource issues.
401(k) Administration -- The BizTeam 401(k) option provides 401(k) administration services and current 401(k) information to clients. After site visitors log in and select a 401(k) administrator online, users can have their 401(k) contributions automatically transmitted to one of BizTeam's strategic partners specializing in 401(k) administration.
Web Hosting and Design -- BizTeam offers a variety of quality Web design and hosting packages specifically designed for small- to mid-sized businesses, including domain registration, design, e-mail, electronic commerce applications and search engine submissions. BizTeam also offers monitoring and maintenance services once a site is launched.
Time and Expense -- A time management and expense reporting facility for collecting employees' payroll hours, recording employee absences and tracking project costs. Employees will be able to enter time sheets manually or by an electronic time clock. This service can reduce collecting payroll hours by up to 80 percent. The service can also significantly reduce administrative costs for companies with employees in multiple locations.
Recently the company announced an agreement with Shilla Retirement Plan Services Inc. to provide 401(k) administration options via the BizTeam Technologies and Services. The agreement allows BizTeam subscribers the opportunity to offer and administer the best benefits available in today's 401(k) competitive marketplace.

ProActive Computer Services Plans Acquisition of CortDev Inc.
HOUSTON, Dec 1, 2003 (BUSINESS WIRE) -- ProActive Computer Services Inc. (PAVP), in an effort to redirect its resources, recently began diversifying its business with a planned acquisition of a Canadian airport redevelopment/enhancement firm -- CortDev Inc. It is the plan of the Company to invest in viable, targeted ventures that will enhance the company's short-term and long-term profitability.
With this in mind, the Company's name will soon change to better reflect the strength of the company as well as its long-term goals; in addition, the Company plans to be fully reporting within six to nine months.
CortDev Inc. has initiated a marketing survey in order to capture the burgeoning business related to Montreal/St. Hubert airport. With the recent modernization of a number of Canada's major airports, such as Vancouver International, Toronto Pearson International and, more specifically, Montreal-Dorval Airport, CortDev is in the perfect position to capitalize on the synergistic market changes. With the expansion of international passenger flights in and out of Dorval, business customer traffic at St. Hubert has increased substantially, due in large part to this business being directed away from Dorval. The strategic location of St. Hubert (close proximity to the business centers of downtown Montreal, Molson Center and Olympic Stadium) in addition to the privacy aspect of the airport and the ease of flight traffic makes the St. Hubert location a superior choice for the discerning business executive.
Strategic Plan
It is one thing to be in the right place at the right time; being in position to take advantage of economic growth is quite another. St. Hubert is a privately held airport primarily constructed with private and corporate aviation in mind. CortDev plans to construct a modernized facility at St. Hubert Airport in a number of areas. These FBO and hangar improvements, as well as the other contracts, should add to the continued economic viability of the airport and CortDev.
-- A 52,000-square-foot building construction hangar on a
160,000-square-foot lot, complete with new offices, workshop,
larger ramp and additional aircraft parking spaces. These new
facilities will be capable of providing V.P. corporate
facilities, aircraft inspection, conference rooms and FBO
services, including pilots facilities.
-- Negotiations with numerous aviation-related businesses,
including negotiations with an oil company for the
construction of a fuel farm. The gross amount of this contract
is over $1.5 million with $1 million attributed to fuel sales
alone.
The airport facilities also have several acres available for industrial warehouse usage. We have just commenced our due diligence on this parcel of land. There is a high demand for such property.
Capital Requirements
CortDev already has various financial institutions prepared to invest approximately $3.75 million to finance this project, which has a construction start target of Spring 2004. Other financial institutions have also expressed an interest in this project. Additionally, CortDev has already invested over $200,000, which covered initial architectural and engineering fees, soil tests and environmental studies from Transport Canada, through which a construction permit will be obtained, along with appraisal reports, accountant fees and brochures.
