ORLANDO, FL -- (MARKET WIRE) -- 02/09/04 -- TS&B Holdings, Inc.
(TS&B) (OTC BB: TSBB), announced today it completed the first
installment on its investment of cash and stock for an 80% interest
in ERP Holdings, Inc. (ERPH).

The Company recently entered into the memorandum to acquire an 80%
interest in ERPH and fund the ERPH initiatives with Cryofire Golf
Marketing, Inc., Envirotech Rotary Power, Inc., and Enviro-Marine,
Inc.

The first closing consisted of TS&B Rule 144 shares and an advance of
$65,000 cash to ERPH in exchange for 80,000 common shares of ERPH,
representing an 80% interest in ERPH. ERPH used these funds to make
a down payment to "lock-up" the purchase agreement with Envirotech
Rotary Power, Inc.

The President of ERP Holdings, Inc., Larry Cooper stated, "Most of
the TS&B/ERPH funds are being used by Envirotech Rotary Power, Inc. to
secure a new engine assembly facility in West Palm Beach, Florida and
pay for the move of all its engine equipment and technology to this
new location. Our new facility will also provide appropriate office
and display space as well as house our equipment. We have already
begun to move our equipment to the new facility and expect to have
the move completed within the next few weeks. Relocating to a larger
facility near our engineering team will help us make the transition
from a research and development company to a production and marketing
company. We also intend to operate our Enviro-Marine, Inc. electric
motor company from this facility as well."

The CEO of TS&B Holdings Inc., James E. Jenkins stated, "We were
pleased to be able to advance $65,000.00 to ERPH to take advantage of
certain critical time requirements for the move to Florida by
Envirotech Rotary Power, Inc. and to secure additional needed rotary
engine equipment. TS&B will continue to assist ERPH in the
implementation of the business plan for the ERPH products and
technologies. We are currently working on the funding for a final
closing on our ERPH initiatives in the near future."
