Net Sales UP 32%

Net sales for the nine months ended September 30, 2003 were approximately $854,000, an increase of approximately $205,000, or 32%, from net sales of approximately $649,000 for the nine months ended September 30, 2002. This increase was primarily due to an increase in the number of our customers who rented cell phones in the first three quarters of 2003 compared to the first three quarters of 2002. We attribute this increase in part to our marketing efforts with Cendant Corp’s subsidiary Avis Rent-A-Car offering cellular phone rentals to U.S. customers renting cars for use overseas.

It is the consensus of many that spike in October was caused by (X) amount of convertable debentures being exercized. The previous O/S was just over 52mm shares and currently the share count is 71mm (increase due to said debentures*) UVCL ran from slightly over a penny, to .172 on no news. This was not a run-up manufactured by a pump campaign, nor was it instigated by management via market-manipulation. The remaining debentures are due for conversion 20 trading days prior to 3/27 and dilution is expected to be minimal. The O/S of UVCL will remain well under 100mm for what appears to be the duration of 2004 (CEO has indicated NO plans to issue additional shares from the 200mm authourized)
