"By now you should have received the proxy statement in connection with the important Special Meeting of shareholders that is scheduled for March 8, 2006. At the Special Meeting, you are being asked to approve (1) the issuance of common stock representing more than 20% of our outstanding common stock at a price below the current market price of our common stock and (2) an increase in our authorized common stock from 40,000,000 shares to 60,000,000 shares."
