NanoLogix (NNLX.pk) signs a definitive agreement with Nutra Pharma (NPHC.ob) Jan. 25, 2006

Highlights of the agreement:

NanoLogix will reassign to Nutra Pharma 11 key patents protecting the diagnostics test kit technology in exchange for Nutra Pharma's entire holding of NanoLogix stock (over 4.5 million shares). -- (that is over 4,500,000 shares returned to NanoLogix treasury)!
NanoLogix will license to Nutra Pharma the remaining 18 patents that protect the diagnostics test kit technology in exchange for a 6% royalty on the GROSS sales of the products based on the licensed technology. IMO -- (that is 6% of an estimated $300 million market equaling a potential $18,000,000 in annual licensing revenue to NanoLogix on this segment of the agreement alone)!
Nutra Pharma will issue 1 million options of Nutra Pharma restricted common stock to NanoLogix at .20 per share. IMO -- (this may, and most likely will be a huge, and I mean enormous asset to NanoLogiox balance sheet and overall enterprise value)
Nutra Pharma will allow NanoLogix to continue their use of these patents for development of their hydrogen technology and other technologies unrelated to medical diagnostic test kits. [and if that weren't enough, the cherry on top -- full use (with the exception of test kits) of all reassigned patents. Talk about having your cake and eating it too.]

IMO -- It has been my experience that stocks with what appears to be a sound business plan, an impressive patent portfolio, relatively low O/S, licensing and royalties going forward, in a sector that is (for lack of a better word) ... sexy -- breaks out to fully reporting status; typically run from pennies to dollars. Unfortunately I usually do not spot them until they are in the latter denomination. Not this time.

January 20, 2006 Countries strive for developing hydrogen energy --- The United States has paid much attention to hydrogen energy. The Bush administration invested 1.7 billion US dollars in a hydrogen fuel initiative which focused on the industrialized production, storage and application of hydrogen energy.
The European Union has also stepped up the development and application of hydrogen energy. IMO -- It is clear that with the increasing amount of greenhouse gases and the undinable global warming crisis it is causing -http://www.earthinstitute.columbia.edu/crosscutting/climate.html that alternative fuels are our only salvation. World leaders and Corporate entities alike realize this. Although many technologies show promise, hydrogen with it's abundance and only byproduct being water vapor (steam) is the most logical direction. One thing is clear, the world recognizes hydrogen as the leading form of alternative energy and is gearing up for the "Hydrogen Age" with production of hydrogen vehicles that meet the specifications of todays consumers coming very close to competitive costs and build out of hydrogen pumping stations (typically at existing gas stations) now a global phenomenon. So what is the hold up? Simply put, the technology works with the only real resistance coming from the cost associated with the production of hydrogen. This is exactly the issue that NanoLogix patented technology addresses.

NanoLogix believes they have discovered the most likely method for low cost production of massive quantities of hydrogen as an alternate energy source. Countries like; Germany, Saudi Arabia, Russia, Canada and Japan are leading the way.
