ImageXpres Corporation Announces Acquisition of PRG Systems, Inc.; Signs Letter of Intent to Merge With New Wave Telecom

Friday , December 16, 2005 13:00 ET

ROCHESTER, N.Y., Dec 16, 2005 (BUSINESS WIRE) -- ImageXpres Corporation (Other OTC:IMJX.PK), a manufacturer of digital imaging / print systems, today announced it has reached an agreement to acquire the assets of PRG Systems, Inc., a New Jersey IT and software solutions provider, for stock and cash consideration.

Simultaneously, ImageXpres' Board of Directors has approved a strategic business relationship between ImageXpres, PRG Systems, and New Wave Telecom, LLC, a digital phone services provider, to deliver proprietary Voice over Internet Protocol (VoIP) PBX services, and has signed a Letter of Intent to merge with the telecom enterprise in First Quarter 2006. PRG Systems and New Wave Telecom are currently delivering VoIP services to businesses in the northeast U.S.; www.newwavetelecom.com

John Zankowski, ImageXpres CEO, states "the acquisition of PRG Systems, with whom ImageXpres has had a strong working relationship for several years, gives the Company an in-house core competency in developing, commercializing and supporting digital imaging and information services that compliment and enhance the ImageXpres iPrint Kiosk product line, and its e-commerce business solutions. Moreover, PRG's IT business is well-established, profitable, and growing rapidly, with sales revenues exceeding $2.5 million in 2004. The strong senior management of PRG Systems will bolster ImageXpres' executive management team, and will lead to synergies in commercializing market applications-based services that integrate digital imaging, data, and voice functionality to businesses and consumers."

ImageXpres /PRG and New Wave Telecom are commercializing a suite of digital VoIP products and services, and plan several joint announcements over the next several weeks and months. ImageXpres anticipates immediate positive differentiation for its iPrint Kiosks and medical imaging solutions, incorporating VoIP voice and video features.

The final closing of the PRG Systems acquisition, contingent upon shareholder approval, is expected by December 31, 2005. ImageXpres is currently in the process of completing a financial audit, anticipated to be completed in first quarter 2006, and the Company plans to file with the SEC to become fully reporting and eligible to trade on the Bulletin Board.

Special Update

ImageXpres Corp. (PK: IMJX)

News Alert: Major PR Issued Last Friday, December 16

ImageXpres Announces Acquisition of PRG Systems, Inc.;
Signs Letter of Intent to Merge With New Wave Telecom

The emergence of a press release from ImageXpres that appears to be filled with meaningful new developments was just announced. The last public release from IMJX was back on September 8, and before that was on July 25. Last summer, The Green Baron Report was confident that a blending of technology from different companies we are now seeing would occur much faster. However, we are thrilled to see this all come together so we suppose better late than never.

Members who bought in for the first ride in IMJX stock last March were treated to a move as much as 400% when the stock went from .10 per share to as high as .50 per share within 30 trading days. When the stock retraced back to .17 per share several months later, we believed that once again it was time to enter the stock. However, for one reason or another, ImageXpres was unable to close transactions that we thought might make this a nice niche play in digital imaging.

IMJX stock has been beaten down over the past few months as a lack of any news has surfaced to help stabilize the trading price. In late October, IMJX broke down from about .10 per share on what appears to be constant tax selling and a sign that investors decided to raise the white flag in defeat. Just last week, IMJX was trading as low as .025 per share, but action in the stock picked up some after this major news was announced mid day on Friday.

The Green Baron Report is very pleased to see the acquisition of PRG Systems, and we understand the potential merger with New Wave Telecom will complete the puzzle. IMJX CEO John Zankowski is thrilled with the synergies present within these companies. He has a focused plan of attack and the projected revenue and sales numbers are quite extraordinary going forward.

We believe it may be worth taking another look at IMJX at this time. We are trying to schedule another webcast interview with CEO John Zankowski and at least one key individual to discuss the true meaning behind this announcement. Mr. Zankowski is extremely excited about the near future, and has aggressive goals in mind. If even half his internal projections and targets are met, we should see IMJX back above .30 per share in short order.
