ST. PETERSBURG, FL, Jan 05, 2011 (MARKETWIRE via COMTEX) -- INFRAX SYSTEMS, Inc. (OTCBB: IFXY), a global provider of unified Smart Grid-related products and services for the Energy and Utility industries, announced today that it has entered into an agreement to acquire Broadband Holdings, Inc., and affiliate companies including Broadband Specialists, Inc., a privately-held, full-service engineering, and design firm. BSI has recently been awarded contracts by The State of Texas, AT&T, and Time Warner Cable, as well as significant wind farm and rural fiber to the home (FTTH) initiatives.
Under the terms of the agreement, Infrax systems will acquire Broadband Holdings and all affiliates, including BSI's 32,500 square foot headquarters and operations facility located on 9.23 acres, for approximately $8M in a combination of cash and Preferred stock, subject to a Lock Up and Leak Out agreement, at closing. The final purchase price will be based on a third-party valuation of Broadband Holding's business and holdings. Infrax will continue to support Broadband Holdings customer base and utilize their expertise in future smart grid deployment projects.

The BSI technical team's multi-disciplined expertise will augment Infrax's technical capabilities. Management of the combined Companies will include executives and Board members from both organizations. Broadband Specialists' 2009 revenues exceeded $8M, with forecasted 2010 broadband and alternative energy design and construction revenues expected to substantially exceed 2009 revenues, on a standalone basis and has an over $30M backlog of committed infrastructure contracts for 2011 and beyond. Infrax anticipates significant revenue growth as a result of adding BSI's design and installation capabilities to our Secure Intelligent Energy Platform.

IFXY has been experiencing strong support at current technical levels, thus representing confidence and an increased potential to experience an appreciation in market value.
Any measurable increase in volume could cause the symbol to spiral upwards.

This new base station option allows network operators and service providers to utilize the desirable 1.4-1.6 GHz frequencies. The addition of these new base stations will provide operators of rural broadband networks better range than the typical 2.5 or 3.5 GHz WiMAX. These new base stations also have the capability of being upgraded from WiMAX (802.16e) to Long Term Evolution (LTE) via firmware. These modular 4G base stations can even provide the ability to change to a different frequency by changing radio modules to provide more longevity of the platform and protect network operator's investments.

The American Reinvestment and Recovery Act appropriated $7.2 billion for the Department of Agriculture's Rural Utilities Service (RUS) and the Department of Commerce's National Telecommunications Information Administration (NTIA) to expand broadband access and adoption in communities across the U.S., which will increase jobs, spur investments in technology and infrastructure, and provide long-term economic benefits.

The new Infrax UMAX-Solar provides utilities with even greater flexibility for modernizing their substation communication infrastructure. UMAX Solar is designed to provide the UMAX & UMAX-Plus wireless substation communication products with a redundant power supply. It also provides up to 70 hours of uninterrupted power to the UMAX units. I mentioned on one of the 4 or 5 threads put on this site for this stock that an e-mail spam and 5B shares to sell it was a typical Pump and Dump. Clearly the dilution button is stuck keeping the flow running at full force. Mybe if they spam enough sorry saps to get the volume up into the 100's of millions it might have a chance to budge. My guess is they are loading up on the shorts. Some guy named sykes has made his millions on these things.
