SGD Holdings, Ltd. Announces Preliminary 2010 Results


Ecopaper.com, a subsidiary of SGD Holdings, Ltd. (PINKSHEETS: SGDH) today announced sales of $3,444,945 for the year ended December 31, 2010, compared to sales of $84,697 for the same period last year, an increase of 3967% a record sales level for the Company. The 2010 results presented in this release are based on preliminary financial data and are subject to change until the year-end financial close process is complete. The Company attributed these strong sales increases to the Company's diversification by entering into the sales of raw materials. The increases were across the board with sales to EOM companies for office product supplies and manufacturing. As a result of increased sales and carefully managed costs, the Company projects stronger increase in profitability and increased sales coupled with appropriate cost controls as the Company grows in 2011.

According to Harry Johansing, CEO, "We are extremely pleased with these record revenues. We invested in globalizing the business during the downturn, and now over two-thirds of our sales are due to OEM manufacturers. In addition, the successful product diversification of our proprietary technology into new market niches has played a major role in our organic growth. We recently announced entering into a letter of intent to purchase Aclor, Inc. in order to have adequate expansion space for current and longer term staffing and manufacturing requirements. We anticipate another strong year in terms of sales and income."

SGD Holdings, Ltd. Releases Preliminary 2010 Sales Figures for EcoFriend Group

VENTURA, CA--(Marketwire - 03/03/11) - EcoFriend Group, a subsidiary of SGD Holdings, Ltd. (Pinksheets:SGDH - News) today announced sales of $1,111,974 for the period of June through December 31, 2010. Net profit during the period is reported at $153,000.

SGD Holdings acquired EcoFriend Group in June of 2010. The company attributes these robust figures to the growing strength and popularity of EcoFriend Group's core brands which include Saldos, Black and White, Univercity, Chic Royale and Natural Funk. The company supplies to many of Mexico's most well known outlets including Arteli, Hallmark, Chedraui, Super Kompras, Copavisa, and Wal-Mart among others. Increasingly efficient operations and distribution are also considered contributing factors to the company's profitability.

"Our confidence in the performance of EcoFriend Group is well founded," said Harry Johansing, CEO of SGD Holdings, Ltd. "The brands are experiencing exceptional growth which is attributed to management and distribution both operating at peak efficiency. SGD Holdings is currently in the process of attaining "Tier 1" bank financing in order to complete the Aclor acquisition.

"However, our concern is that 504 financing may dilute SGD Holdings' stock. SGD Holdings, Ltd. Strikes New, Mutually Beneficial Agreement With Aclor, Inc.

SGD Holdings, Ltd. (PINKSHEETS: SGDH), parent company of premier environmentally friendly paper products manufacturer EcoPaper, Inc. (www.ecopaper.com), today announced that the company on March 8, 2011 entered into an agreement with Aclor, Inc. in which SGD Holdings will become a primary supplier of raw materials for Aclor brands. Aclor, Inc. has submitted a purchase order to EcoPaper, Inc. in the amount of $10 million worth of raw paper materials. The order is anticipated to be fulfilled and delivered no later than August 31, 2011.

Aclor, a privately held U.S. stationery and paper products manufacturer and distributor, is also entering into an equipment leasing agreement with SGD Holdings in order to expand its own current manufacturing volume.

EcoPaper is also in the process of securing financing for the purchase of more than $2 million of additional manufacturing equipment that assists with and enhances order fulfillment, and increases the viability of leaseback options to Aclor.

A letter of intent for SGD Holdings to acquire the assets and intellectual property of Aclor was signed in November 2010 with an expiration date of February 28, 2011. With an innovative and mutually beneficial solution in place and expiration of the letter of intent imminent, SGD Holdings has opted not to continue pursuit of the acquisition of Aclor's assets and intellectual property.
