nformation About Pending Acquisition

Thank you for your inquiry about our announcement of March 21st about the pending acquisition of All Staffing by Warning Management Services.

We anticipate closing the transaction sometime prior to June 30th.

If you are a customer of All Staffing, you can expect the same quality of service from All Staffing. Once we become part of Warning, however, we expect to add another dimension of service and support to our customers and employees.

All Staffing is a privately held company. Joining with Warning changes our status to that of a subsidiary of Warning whose shares are publicly traded. Once again, no operational changes are anticipated; as part of a larger company with access to additional capital, however, we expect to provide expanded products and services to our clients and to provide even better benefits to our employees.

Once again, thank you for your interest in All Staffing. [2006-03-27]

We need some updates to continue the run like filings and/or all staffing purchase. I was looking at the chart again and noticed the 50MA and 200MA did cross less then 1 year ago when it went to a high of .0024 then came back down again under .001. I would be very careful and be prepared if we dont see news this could come back down and if it does then i will be buying more.

Catherine Tran, Editor-In-Chief of Warning Magazine said, ``College magazines have become chic. People no longer keep college magazines in their attics, closets or remote corners of bookshelves. We believe, given our team of writers, graphic designers, access to models and celebrities, Warning Magazine is going to be the hottest college publication in the nation.''

``Re-naming of the magazine to Warning makes sense,'' said William Scott Whitfield, Publisher of Warning Magazine. ``The advantages of the name change to Warning will not only give us brand recognition in all of these vital U.S. cities, but will enable us to mass market the modeling agency, search out new models and talent and increase awareness of our clothing lines and publishing endeavors.''

Brian Bonar, Chairman and CEO of Warning Management Services Inc., commented, ``Advertisers have come to realize the buying potential of this demographic market and have budgeted for national advertising through this media. We plan a campaign to contact existing clients, advertising agencies and industrial and commercial accounts who, potentially, would be interested in procuring national advertising space.'' Bonar continued, ``We are also exploring expansion of the Warning Magazine in other major cities in the U.S.''

LOL! Dang SS, you were right on with this one...
But as good as it looks today, it'll have to look just as bad when it reds it's way down .0084 at the open.lol

I saw the new Simple Life is going to be back on in June. Maybe Paris'll plug WMNI.

Posted by WarningModels1 on :

Highway it was a fat finger the ask was .001 some IDIOT Market Maker put the wrong price in the system tomoroow we will open at .001. I wish the pps was .0095 my account value of $390,000 looks to good.

Posted by Highway on :

I know, I know. j/k around.lol

But about the show... I have seen in the past, when the The Simple Life comes back on, the stock goes up.LOL
May not happen this time, but I'm going to be ready just in case. [Wink]

Posted by WarningModels1 on :

How could a Market Maker make THAT! kind of mistake? .001 and .0095 are not the same it would be if it was .01 but it was .0095 i guess we will see i do hope that maybe some news leaked about All Staffing Inc. and someone wanted to buy in but why .0095 i dont know i never seen that before.

Posted by Highway on :

But they can buy at .00095

Posted by pennsense on :

ya that was wired/. I could not tell when it really happen. Seems like Last Trade was on
3:58 ...

Posted by WarningModels1 on :

Im sure they will correct it in the morning before the open so the pps doesnt show us down 90% LOL

ya that was wired/. I could not tell when it really happen. Seems like Last Trade was on
3:58 ...

Posted by dunkle on :

i almost a heart attack when i clicked on after I got home from work......but this is what im banking on and not this .009 but like.06 I told you all this stock is going to be on fire in a month......dunkle

Posted by WarningModels1 on :

Ok Now This Is REALLY WEIRD!!

05/15/06 16:00:40 0.0095 0.0008 0.001 900000

Now why would 900k go through after the close at the same pps of .0095?

Posted by dunkle on :

u still on warning? DUNKLE

Posted by dunkle on :

where you getting your info from? and what was the pps prior to the 900k being sold? DUNK

Posted by dunkle on :

This is making me crazy it has to be a mistake it has to be...possibly someone putting a order in and getting it in two separate deals with one bid? maybe i can only assume

Posted by Sigma on :

It's possible, likely even, that their buy was just split.

Posted by WarningModels1 on :

0.0095 2000000 OTO 15:58:42
0.001 757000 OTO 15:16:47
0.0009 277000 OTO 14:57:37

Posted by WarningModels1 on :

look at that 3.16pm buy for 757000 and then at 3.58pm buy for 2000000 at .0095

Posted by WarningModels1 on :

been here soo long things like this make me crazy LOL

Posted by dunkle on :

whats your thoughts warning? DUNKLE

Posted by Sigma on :

What about them? The 3.16 buy is in line with the bid.

The 3.58 buy is ten times the pps of the 3.16 buy. And the 4.00 buy is the same price. Someone probably bought 2,900,000 shares and they fat-fingered the pps, and it just took 2 buys to fill.

Posted by WarningModels1 on :

and the stock will be down 90% at the open

Posted by dunkle on :

Im with sigma this is a bid split and nothing more now if breaking news came out about the allstaffing deal then maybe i could believe......but i think ill wake in the morning and come back to reality

Posted by dunkle on :

down 90% try 900 %

Posted by Sigma on :

You can't go down 900%. [Smile] Or any more than 100% for that matter.

At least not unless you plan on paying WNMI a lot of money. [Wink]

We'll be down about 90% unless they fix it before open.

Posted by WarningModels1 on :

well if you take .0095 and minus 90% you get .001 or so which was the actual close at the end of the day if those trades actually went through at the RIGHT pps.

Posted by WarningModels1 on :

it sure was nice seeing that $390,000 account value in my brokerage account and that includes the $161,000 in my IRA. I believe we will see .0095 atleast within 1 or 2 months for REAL. To many good things coming like All Staffing purchase and hopfully filings and even announcement to return to the otcbb.

Posted by MrKrabs on :

i went in at .001 yesterday.....do you guys think theres any chance this thing will go up again anytime soon?

Posted by SuperSniper00 on :

yeah when they give a PR with numbers and fundamentals...until then just buy more on the dips

Posted by BeginnersLuck on :

Is it June Yet?

Posted by WarningModels1 on :

Rumor has it that Uber-Warning Models will be having their own Reality Show. I contacted someone at Warning and asked about it and all i got was "I cannot comment on that" usually that statement means its true so look for that PR to hit soon.

Posted by WarningModels1 on :

I got that from myspace.com which has several Uber-Warning Models who have accounts there. One Model i asked if she knew anyone who will or owns any shares of Warning and she said lots of people including her father who bought 1 million and his friend bought more. I told her how many i have and she said that i will be very rich soon because this is about to take off.

Posted by BeginnersLuck on :

Well I have my fingers crossed:P

Posted by hbbus700 on :

How many shares do you all have?

Posted by WarningModels1 on :

I have 41.5M Shares and will be adding another 8.5M for total of 50M.

Posted by SuperSniper00 on :

well lets hope for some news!!!

Posted by BeginnersLuck on :

thank how happy you would be if that hits 50 cents haha

Posted by WarningModels1 on :

Yea i would be retired living on some tropical beach with $25 Million HAHA! Of course .50 will be about a $500 million markt cap assuming a 2B O/S. Though look at Taser International who makes about $50M and has a market cap of $573M or TravelZoo who also makes about 50M and has a 519M market cap so anything is possible with the stock market.

Posted by WarningModels1 on :

My 401k roll over was completed and tefunds were deposited into my IRA account $51,650 so planning to buy 8.5M more of this stock and have 50M shares and that will be it because i dont want to reach 5% ownership. The rest will go into FrontLine (FRO) which is about $31 and pays out a nice $6 dividend.

Posted by dunkle on :

buying more at .0007......people need to wake up

Posted by WarningModels1 on :

.0007 is so cheap any shares you pick up at that pps is an easy 100% return.

Posted by WarningModels1 on :

UberVintage.com should be up pretty soon.

Posted by Sigma on :

Let's hope that 0.0007 is more than a 100% return. I bought my shares at 0.0014 in a moment of sheer stupidity, so I'd only be breaking even. I'm gonna ride this out though.

Posted by WarningModels1 on :

By the end of June this should look very good in my opinion. I picked up my last 8.5M shares at .0008 for 50M total.

Posted by SuperSniper00 on :

10Q and K should be out in mid june...thats when this will TAKE OFF!!!

buy at .0007 now because it is CHEAP!

Posted by BeginnersLuck on :

What's your target sell price(s)?

Posted by WarningModels1 on :

26 Million in my IRA average pps .0009, 24 Million in my taxable account average pps .0023 so anything above .005 would be nice.

Posted by MrKrabs on :

ok, this may sound stupid to some of you probably, but can i ask you why you don't want to reach 5% ownership? I just started trading with a little bit of cash in my account and theres still alot of things i don't know... =/

Posted by Sigma on :

If you ever reach 5% ownership in a company (and it's generally pretty difficult to do) then the SEC cracks down on what you do pretty hard. There's a lot of paperwork to file and you can't just go dumping all yours shares whenever you want.

more than 5% qualifies you as a major shareholder and you have to file SEC forms when you sell.

Posted by MrKrabs on :

dang...that sounds pretty rough. i just asked my dad about this, and he said theres nothing special about hitting 5% ahah

Schedule 13D
When a person or group of persons acquires beneficial ownership of more than 5% of a class of a company’s equity securities registered under Section 12 of the Securities Exchange Act of 1934, they must file a Schedule 13D with the SEC. The term "beneficial owner" is defined under SEC rules. It includes any person who directly or indirectly shares voting power or investment power (the power to sell the security).

Schedule 13D reports the acquisition and other information within ten days after the purchase. The schedule is filed with the SEC and is provided to the company that issued the securities and each exchange where the security is traded. Any material changes in the facts contained in the schedule require a prompt amendment. The schedule is often filed in connection with a tender offer.

You can find the Schedules 13D for most publicly traded companies in the SEC’s EDGAR database. You can learn how to use EDGAR to find information about companies. You can find an HTML version of the Schedule and download a PDF version for easier printing.

Reality show is true but company not talking about it right now. Investors want to see facts once they confirm that they have completed the purchase of All Staffing then this will move. We also need filings thats very important so we can move back to the otcbb.

Warning,
After looking at the AlStaffing website it appears that the deal is almost a definate and seem very excited about it. This is good news that the information is posted by both parties and not just from wnmi.

From AllStaffingInc.com

"Thank you for your inquiry about our announcement of March 21st about the pending acquisition of All Staffing by Warning Management Services.

[2006-03-27]"

We all know this company is undervalued but once the deal with All Staffing Inc. is complete MMs cannot keep this down knowing that revenues will exceed $100 million. I do expect dilution to happen once that news hits but with that will be massive buying pressure.

Warning Models Take Center Stage as tag+ Jeans and Gold Hawk Debut Their Fall Fashion Lines
Wednesday June 7, 9:30 am ET

LOS ANGELES, June 7, 2006 (PRIMEZONE) -- Warning Models and Uber-Warning models (http://www.uberwarning.com), wholly owned subsidiaries of Warning Management Services Inc. (Other OTC:WNMI.PK - News), today announced that it's models have been exclusively chosen to debut tag+ jeans and Gold Hawk fall fashion lines.

The show will be presented at Element, in Hollywood, CA on June 9, 2006. The red carpet begins at 9:00 PM, with the runway show following. The fashion show, by invitation only, brings together on one runway tag+ jeans, created under the watchful eye of head designer Iskander Lemseffer, and Gold Hawk, created and designed by Michele Dahan, two of the industries most influential designers, and is paired with up to 20 of Warning's leading models. The show is co-sponsored by Svedka Vodka and Berry's Cafe and hosted by Anouar Productions, ENG PR, Lucas, Herman and Edwin Borques. Both national and international presses are invited to cover the event.

The show will feature Gold Hawk tops as well as tag+ jean bottoms. The jean line includes twisted-leg, cowboy and Western and are targeted toward the 20-45 year old consumer. The jeans feature distressed and stretch jeans for perfect fits. Some of the jeans are studded with shimmering Swarovski crystals. They retail from $165.00 to $900.00. The apparel lines are sold in boutiques world wide as well as Saks Fifth Avenue, Neiman Marcus, Nordstrom and other retail clothiers.

``We are pleased to be part of this fashion event,'' said Omar Albertto, managing director of Warning Models. ``The company chose to exclusively use Warning's models for this show, given the number of modeling agencies available, strengthens our belief that our new business strategy for the agency, coupled with Scott's and Cat's amazing efforts and work ethic, is working and will soon catapult us to the forefront of our industry.''

Scott Whitfield, President of Uber-Warning, said, ``Being on the runway is the most natural place to be for Warning Models. We are pleased to be part of the company's strategy that will allow their tag+ jeans and Gold Hawk brands bridge the gap between sidewalk and catwalk.''

Says Iskander, ``I would like to thank Warning for joining us as the exclusive provider of the models for this show and am extremely pleased for the support Warning has supplied us for this upcoming premier event. Of all the agencies interviewed, we found Warning's models to be the essence of the trends we are attempting to set in our world of style. We are confident that this association with Warning will expand as we travel further down the road.''

Currently, the website has over 35,000 members and has produced upscale fashion and nightlife events for four years strong. LA LeLounge.com is not only an upscale event guide but also an elite event production company.

A-list celebrities are expected, as well as high level clientele, however, confidentiality must be honored so as not to warrant unwanted media attention.

``We cannot be more pleased to be part of this event,'' said Omar Albertto, managing director of Warning Models. ``Once again our models have been chosen for a major event, reassuring us that our business strategies are headed in the right direction.''

Scott Whitfield, President of Uber-Warning, said, ``We are honored to be part of the launch of LA LeLounge and are confident LA LeLounge will be a huge success.''

Barbra Ongwico, founder of LA LeLounge, said, ``I would like to thank Scott, Omar and Uber-Warning for joining us and providing the models for this event.
