Beverly Hills Film Studios Reaches Settlement
Monday December 6, 1:21 pm ET

LOS ANGELES--(BUSINESS WIRE)--Dec. 6, 2004--Beverly Hills Film Studios Inc. (OTC:BVHJ - News) and the company's founder, producer/director, BJ "Beau" Davis, announced today that both parties have mutually agreed to the terms of a settlement resolving their respective lawsuits against each other.

Davis will remain on the company's board of directors as well as to serve in a position that is to be determined by BVHJ President Kimberley Kates, as the two sides rally together to bolster the company's film production.

Beverly Hills Film Studios and Davis are currently coordinating their efforts to ensure all assets of the company have a clear chain of title for delivery to buyers and distributors. Kates stated, "The company and our management team are pleased that these issues and misunderstandings are now behind us. With everyone's interest in mind, and in particular our company's shareholders', we look forward to Mr. Davis' crucial activities in support of the film, 'Forget About It' and are happy that he will be spearheading the completion of this project with the company."

A forensic examination of the Beverly Hills Film Studios operational costs and expenditures assisted in resolving mutual misunderstandings and confirmed that no irregularities were noted by either side. Primarily, the company found no improprieties in any payments made to Julia Davis as the screenwriter of the feature film, 'Forget About It.' Davis was paid within accordance with industry standards.

In an act of good faith, and to show a sign of solidarity with the company and shareholders, Davis has generously agreed to transfer back to the corporation 100,000,000 shares of BVHJ common stock which will be cancelled. With this action, it revises the total issued and outstanding share count to approximately 21.7 million shares.

On an operational front, the much anticipated release of the feature films "Forget About It" and "Dirty Love" have recently received special attention from a variety of distributors. Kates and Davis have projected very positive box office receipts for both films for Beverly Hills Film Studios and look forward to a stellar year ahead of original production for the company.

yeah it's usually a warning for me, but they have restructed the managment lately. This looks good for a short term play. Also cancelling 100 million shares, they could have just kept them and dumped them back in to market and then done another R/S. Only 21 million O/S looks promising, but who knows the A/S? Sadly no filings.

yeah the R/S was a red flag for me too, but it was also one of the reasons the old president found himself given the boot. he's staying on now in what appears to be a creative capacity, and others have taken over the business end, from what it looks like.

Still has room to maneuver dow a bit but you see Point C? That's an uptrend confirmation. But it already went up 100% from there. So now it needs to break the symetrical triangle if it's going to move up.
RSI is also Bullish, good sign.

If it doesn't close past .10, look for another sllight drop.

"I saw it last night and I have to say that I havn't laughed so much in a long time. It's true, Jenny is easy on the eyes, but here acting and writing are what this film is about. I think this might put her career in a new direction.

I also just saw DIRTY LOVE last night! I was sitting in the third row just a few feet away from the whole cast. "I haven't laughed that hard in months and only Jenny can do that!" That is how I feel and what I told the Director John Ashton during the Q&A following the film! Everyone in the theater applauded in agreement and then I asked "Has this been picked up for distribution yet because I want to see this again and be able to buy it on DVD" immediately John reached into his pocket and pull out a wad of cash and tried to give me twenty dollar bill but I wouldn't accept it so he just through it at me and thanked me. Afterward I was able to meet Jenny, John, Eddie and the rest of the cast and they were all happy to sign the twenty for me, which I plan on framing with the pictures I had taken with them. It was my most memorable evening at Sundance and I have been going for 4 years!

I suggest EVERYONE go out and see this movie when it comes out! You will laugh you ass off... I PROMISE... if you don't it’s because you have no sense of humor!

PS— It’s not ALL about ecstasy; it makes fun of it in one hilarious scene!

Saw promo for their festival coverage called "Festival Dailies" last night. Tonight's show has a piece on husbands and wives in the film industry, and Dirty Love's Asher and McCarthy featured prominently in the promo. Hope they mention something about the film's progress.

It basically brought to light the issues of love and dating through humor that only Jenny could pull off. The cast was outstanding and blended well. Cant wait to see it on the big screen and DVD. I guess I'm basically posting to myself at this point...but if there are any lurkers out there interested in BVHJ, it appears that they are about to get distribution for Dirty Love...and with this new low float, well, a few million dollars (just an assumption) divided by this new low OS is looking good to me...and this is only ONE of their projects reaching market so far.

Okay, cool, thanks! Just nice to hear someone out there occasionally, lol.

I also didn't want to seem like some crazy pumper who's posting only the good but blind to the downside...I'm as worried about the "past" of this company as everyone else, but I just have a "feeling" they are getting it together and flying right. I doubt, with the recently lowered OS, that another RS is a danger, although just having one in the past is, understandably, enough to turn people off. Hopefully it's all smooth sailing from here. Do your DD, and let's watch this thing develop.

The lowering of the OS is really good news and companies don't typically make a habit of r/s on a regular business without being seen for what they really are.

Sundance Channel just aired the piece on the husband and wife film maker teams at the festival this year. McCarthy and Asher were the highlight, but no info on the film slipped out. Oh well. I'm also thinking, however, that if Dirty Love is a hit...one of the past PR's states they have a 3 picture deal with BVHJ...so that's good. Franchise, baby.

DIRTY LOVE

Oh, baby. I did not expect to like this film so much. This film is what "The Sweetest Thing" so deperately wanted to be: A raunchy sex comedy from the woman's perspective. It's audacious, gross-out humor, which mines the comedic potential of just about every orifice in the human body, and all of the sounds they make, offset with a brilliant (yes, I used the word BRILLIANT) comedic performance by Playmate/game show hostess/all-around perfect woman Jenny McCarthy, working from her own script.

The plot, thin as it is, involves McCarthy as Rebecca, a professional photographer who is shattered when her model boyfriend is caught cheating on her. After a visit to an oddly blunt and unsympathetic psychic, she begins to plot revenge, continually escalating her efforts, all in order to regain some of her dignity, and claim the romantic love that she feels entitled to.

Now, Jenny McCarthy has always been a bit of a goofball. We've all known that. It was this quality that seperated her from other models, and actually endeared her to men and women alike. We also already knew that she has a smoking hot body. The suprise here is just how gifted she is, as she uses that body to full effect, to get both easy, broad laughs (bending it, contorting it, abusing it during pratfalls, spraying it with assorted messy substances), and more subtle ones (priceless reaction shots, including one moment that she has alone with a mirror that makes me smile every time I think of it). The festival guide compares her to Lucille Ball, and while Lucille Ball certainly never shook her bare breasts outside of a nightclub, as McCarthy does here, it's actually a pretty apt comparison. Carol Burnett is another one of the physical comedy greats that McCarthy can look forward to being compared to. You go ahead and shake your head, but mark my words: This is a breakout performance.

What makes this movie succeed where other raunchy comedies fail, is, like the American Pie films, it roots its humor in immensely likeable characters, and invests the story with plenty of heart. This is not crudeness for crudeness' sake; You really care about Rebecca, and feel for her even when she is having what, for most women, would be the most embarrassing moment of their lives, a huge set piece involving a mad scramble through a grocery store that I will NOT ruin for anyone here. And when, in the movie's Cinderella-ish climactic moment, she screams perhaps the goofiest line in movie history, instead of groans, it provokes cheers, laughs, and, for this viewer, a broad, ear-to-ear smile.

The supporting cast all get their moments, as well. Eddie Kaye Thomas, fresh off of Stifler's Mom, again provokes envy as the everyman who really, legitimately loves Rebecca, if only he could find the words to tell her (everyone sigh, all together now). Carmen Electra, who for the first few scenes was completely unrecognizeable, gets in a few choice laughs with her waaaay-over-the-top performance as a wannabe gangsta type, and Guillermo ("Yo, you better wrap that **** UP, B!") Diaz, also unrecognizeable without his soul patch, was a riot, with his oddball portrayal of a magician and potential suitor to Rebecca.

There are so many gags in this film that will stay with me for a long time, including one scene that will find its place in the pantheon of the great cinematic comedy bits of all time. I cannot recommend this film enough for some great belly laughs, some sweet "Awww" moments, and one virtuoso comedic performance by Jenny McCarthy.

I rattled off an email to the company to find out the A/S and if there would be any financials/reports available. Kimberly Kates replied and stated that the A/S is 150,000,000 and the financials will be available...

I doubled my shares yesterday and I could have got them for .003 cheaper today (maybe) with yet another PR! Amazing!

I, too, am a little disappointed this one hasn't run yet, but support is rock solid at .08 and the market cap is at a very undervalued 1.9M with two movies being bid on. There is obviously no such thing as a guaranteed profit play, but this is one pink I feel very safe with a large position in right now.

Once some dollar numbers are released, this one should take off - lot of accumulating and profit taking from early investors right now.

Also, just so you know - the company Wild Bunch that was announced yesterday as doing the international distribution? They've distributed many independent hits in the past including Fahrenheit 9/11, City of God, and Spirited Away (Mayazaki).

The film "Forget About It" seems to have been changed to "Fuhgetaboutit". If you look at the end of the new clip you will see the new title card:

It's a little more unique this way...maybe it was a marketing move to get the title on everyone's lips. Kinda more fun for people to talk about if your movie's title is slang. (I just hope the reviews don't match the title, lol.)

The chart looks like its priming for a breakout soon.

I have been a little concerned about the company diluting, as it has seen some volume lately, but has mainly been going down. The A/S is at 150,000,000 and it could be a problem. I emailed Kimberly Kates again asking if there can be any assurance of no diltution and wether they have issued any shares in lieu of services rendered etc. I'll post back if and when I get a reply.
