Growth Company TS&B Holdings, Inc. Announces Closing of Second Private Placement Financing Through The Issuance of Restricted Stock Business Wire - July 08, 2004 09:15
ORLANDO, Fla., Jul 8, 2004 (BUSINESS WIRE) -- TS&B Holdings, Inc. ("Company" or "TS&B") (OTCBB:TSBB), announced it recently completed the partial funding of its second private placement (PPM) financing transaction as a Business Development Company (BDC) through the private sale of Rule 144 restricted stock.
This is the second private placement financing issued to TS&B since becoming a BDC. The PPM was issued for $500,000 for restricted stock at $0.02, a 444% Premium to the market.
The CEO of TS&B Holdings Inc., James E. Jenkins stated, "We're very excited about our second private placement as a BDC using restricted stock. The use of restricted stock to raise equity funds should have a positive effect on our PPS. As stated in earlier press releases we have several financing transactions we are currently structuring using the same or similar strategies. The Company is still receiving positive feedback from the investment community."

The O/S is higher now. I don't really see this as a good thing. More stock has been issued, but it is restricted and was issued at .02 instead of the current market price. It will be interesting to see how the market reacts to this.

I don't think the O/S were increased...I think what it's saying is that either TS&B or another outside company purchased $500,000 worth of shares at .02 cents. Says nothing about O/S and that's to be decided in August anyways
Private placement or private investment capital, is money invested in your company usually from private investors in the form of stocks and sometimes bonds. In the United States, private placement often does not need to be registered with the Securities Exchange Commission.
According to Thompson Financial, over 416 billion was issued in the private placement market for 2002. As good as it sounds, the majority of those dollars came from pension funds, investment pools, banks and insurance companies amounting to just over 2,000 deals. However, private placement does exist for the small business owner and is often less expensive and easier than taking your company public.

Now that's news I like to see. A private placement stating that this stock is worth atleast .02/share. They are not going to be able to hold this down much longer. It is going to fly to the moon! Better load up.
