Sounds to me like Mikey Boy didn't have the A/F's so he came up with the old "Share Retirement/Buyout" pump that we have heard oh-so-many-times.
You guys have to be nuts if you think in 2 years this Pink Sheet company - that can san anything they want - is going to honor that .04 deal, lol.

I am gonna do 1 million shares to PDR's and hold the rest, I think. Just need a few questions answered for me!!! Hey, $40,000 or possibly more in 2 years for $2700.00 invested. I will take it!!!! Maybe with everything else, I will retire in 2 years time!!!

I've been good. Good to see you.
I'm still in the process of mulling this over and putting my thoughts together. As soon as the head clears enough to post something lucid, I post my thoughts. Of course it will only be my interpretation of things and nothing concrete since I have no inside information nor am I a broker, attorney or accountant. As you can see here the above law refers to a private foundation, as taken from Panamersa's deed for the foundation, it is a public foundation. MicroForest, physically or on line, through the Certificates known as P D R. F) To be the beneficiary of shares and its dividends deposited in the Fundación Pan America, shares of the USA Company known as PanAmersa Corporation which in a Public Company in the United States of North America, incorporated in the Nevada State, and which acts as our representative in the Capital Markets in the USA and the rest of the World.

I'm still thinking this through a bit but here's my take so far.
Either this is a massive scam that incorporates some very well known individuals in Central America, South America and Spain or there is a lot more here than meets the eye. I tend not to believe in the conspiracy theory since it would involve too many and be too widely spread.
Now down to the issue at hand. I've felt felt for sometime that the whole purpose of Paypro turning into Panamersa, in fact the aligning of Panamersa at all with Paypro was to attract and introduce investors to the Fundacion and the Pan Am region. It is my understanding that The Fudacion Panamersa is to be a depository for Real estate, Gold and other financial instruments. It is also part of the Tax free haven that Panama is striving to become.
Considering the above fact, the land Divy PDR's make more sense. It was and is a way to introduce U.S. investors to the Fundacion. I think the brokers know these and that is why they have not been very accomodating in releasing information because it could potential take business away from them.
So now the BOD of Panamersa has taken it a step further and out of the hands of the brokers. Attempting to get investor's to pull the certificates of the stock and exchange them for PDR's. This does 2 things. First it reduces the tradable float. Second it gets the U.S. investors to become members of the Fundacion and can then offer them investment opportunities in the region eliminating the middlemen(Brokers and MM's).
They also state that the money they promise for the guaranted buy back will be backed by Gold Reserves. OK, not much different then the way the lotery in this country pays out prizes. The lottery buy annuities at a fraction of the cost and then pays out the prize over time. If the company can prove that they have the money and have bought Gold to back up the guarantee then they in essence are banking on the fact that they believe 2 things. First, Gold will increase in value and so will the worth of the company. They can make money on the Gold and if the PPS goes where they think it will won't have to worry about buying back shares because they will be worth more then what has been promised.
What does it all mean to us? If they can certify to our satisfaction that they have the money and have purchased the Gold reserves to back them, it might be a risk worth taking. Yet, it is a Pink Sheet and that in and of itself is cause for concern. My personal trading style is not to call for Certs but that is just me. It's too late for me to worry about a year or 2 down the road.
It's up to each individual to do their own DD and to assess their own risk vs reward scenario.

So does this mean they are de-listing completely? It would make more sense, from a company stand point to get there float under 500000 or what ever the magic number is to move to a more stable exchange. I personally think that making your own stock exchange is the wrong way to deal with the shorting. Besides all that, the one question that is eating at me is this; was or is this, the check card company that I invested in? If not where did it go? I’m not trying to bash, just trying to understand what is going on.

I am still in Panama with much to do but I wanted to take a few minutes and see if I could simplify this whole process of shares/PDRs/Fundacion
First let’s start with the Fundacion Pan America The Fundacion is a Depository Its only job is to hold and protect assets for its beneficiaries
The Fundacion does not invest your money, PDRs, gold etc
It does what you tell it to do as the beneficial owner
All the assets you deposit into the Fundacion which may be in cash, gold, PDRs, stock, etc are stored or deposited into the HSBC Bank in Panama I believe HSBC is the second largest bank in the world.
When you make a deposit into your local bank they give you a receipt
When you place an asset into a depository you get a receipt
Since the name of the depository is Fundacion Pan America
Then the receipt would be called a Pan American Depository Receipt (PDR)
So when you deposit your Certificate/shares into the Fundacion you get a receipt. The PDR will have a description of the asset you placed in the Fundacion be it cash or stock
The stock is always yours you can sell it at anytime you so choose.
The share price guarantee is nothing but a guaranteed floor so you know if the shares never go up the whole first year you have $0.02 locked in. On the other hand it has never been my intention to remove your liquidity. If you are holding PDRs and they start selling for 500.00 each (.05 pps)you have my blessing to sell your PDRs and take the money at any given moment. Or not, your choice.
The software to trade PDRs is being beta tested as we speak and I feel will be ready to roll out sometime next week. What does that mean to you? It means you will have a system where you are your own broker you decide your ask and you decide your bid.
When you buy you pay a commission of $10 regardless of the size of the buy.
When you sell you pay a commission of $10 regardless of the size of the sale.
Your cash account must have sufficient funds to execute the buy so if you do not have funds in your account they must be wired to HSBC/Fundacion/your account #
You can only sell PDRs in your account and the instant the sale is executed your cash balance will reflect instantly the money earned from the sale.
Your cash account is 100% liquid at all times and you may request disbursements, wires or in person withdrawals by requesting it online.
At all times the shares you conveyed to the Fundacion are safely stored in HSBC’s vault
The shares you conveyed can only be removed under the following conditions
1. You request them or
2. You have sold them and the new owner wants them
The important thing to understand. Soon there will be beneficiaries from every continent on earth. They will have the ability to buy or sell PDRs 24 hours a day 7 days a week from anywhere in the world. They will have for the first time a system that delivers Product (PDR) s and collects money instantly. A system impossible to short. A system that every beneficiary has a level playing field. A system where each trader has complete Anonymity.
I would like to stress to each of the Current and future PANAMERSA Corporation shareholders.

If where you are now won’t let you buy remember you may be the little guy but it’s still your football. If you ask for your ball they have to give it to you. There is no game without a ball.
So don’t wait too long to get your cert. out of the current system there may only be counterfeit ones left.
At least with a PDR you know they are backed by real shares because you put them there.

Something to consider...if you buy this stock and pull your certs and exchange the certs for PDRs as MT suggests, then the pps really doesn't mean squat. Because your money would instantly be what the PDRs are trading for.
Here's the deal...at some point all the certs are going to be in the hands of MT. And in fact, if there is NSS going on, there will be more shares to go around then actual certs and the #$% will then hit the fan. The nice thing is all the NSS going on is running the pps into the toilet and allowing the average joe to pick up shares very CHEAP.
Let them run the pps into the ground....just means we can buy more shares faster and we can pull the certs for less money.
This scenario is really better for us. Last thing I want is for the price to go up until the float can be purchased and certified. I hope they short the hell out of it. Because the REAL shares are eventually going to dry up and they will have no REAL shares to buy back. They will all be PDRs. That's when the SEC will have to deal with the reality that the MMs are trading virtual shares based on whatever they decide that have no connection with the company. i found this post on IBASH .just something to ponder
