.26 is actually a good stopping point. It's low enough for new money to come in tommorrow morning and folks won't be scared off by gains of over 100%.

The good news will be read tonight by those away from their computers during the day and folks will see that there is still a good entry point.

The volume is good. The news is good. Its a 8-k. Not some flimsy GFCI or IDWD PR. There is a lot of ambiguity over which company ceases operations - CVSU or NHAL (8K differs from the PR). Also CVSU is not traded on the Pinksheets.

A good PR tomorrow on the Amazon deal or clearing up some of the issues should push this way higher. Lot of money on the sidelines waiting. I am in for the long haul.

the outstanding shares of csvu = 23,290,000
so that gives us 140,000,000 mil. not bad at all.
cvsu and fhal combined should be 1 billion $$ right ?? then comes the log deal between ceota and fhal. COOOoool.

the way I read it is that FHAL will cease to exist after the merger, CVSU will be the new CUSIP and the A/S will be 120,000,000...20 mil preferred, 100 mil O/S...over $800,000,000 in assets for the new company...book value of ~$7.20 per share...your FHAL shares will become CVSU shares (1 for 1) and will not be restricted in any way...

This thing is still weird. The way I read the following (from the 8K), FHAL is the surviving corporation. CVSU will receive 1 for 1 FHAL shares for CVSU shares and FHAL holder will continue to have what they have. I would have thought it would have been the other way around.

From the 8K:
At the Effective Time, the outstanding shares of the common stock of the corporations participating in the Merger will be converted and exchanged as follows:

1. Conversion Solutions, Inc.

(a) Each outstanding Company Share (as defined in the Agreement) shall at the Effective Time no longer be outstanding and shall be canceled and retired and shall cease to exist, and the holders of the certificates representing such shares shall thereafter cease to have any rights with respect to such shares except for the right to receive, in consideration for each such share and subject to certain election and allocation procedures, the issuance and delivery of: (i) [ ] shares of the FHAL common stock, $.001 par value, as traded on the Over the Counter NASDAQ Bulletin Board National Market System ("Buyer's Stock").

2. Surviving Corporation.

(a) Each outstanding share of the Buyer's Stock shall remain outstanding after the Effective Time and shall not be affected by the Merger.

My intrepretation is that CVSU is being absorbed into FHAL, because FHAL is an OTCBB stock, ONce doen(At the same time) FHAL will cease to exist and the new company will be CVSU. FHAL stock will remain as it is, free trading with a book value of $7.23.

Since FHAL is the OTCBB company that is why CVSU shareholders will get 1 for 1 shares of FHAL. The nice part is since they are mergering into FHAL we continue on with no restrictions. SWEET.

nu2this, the terrific thing is that you got some, this stock is going to go for a wild ride up, there will be lots of confusion from some of the traders this evening, especially the ones that laughed at us. the bashers at .09. hang on for the ride.

Saw this on Ihub, found it in 8K, appears there is tax advantage for conversion solns:

THIS MERGER AGREEMENT (this "Agreement"), dated as of the 8th day of July, 2006, is by and among:

FRONTHAUL GROUP INC., a Delaware corporation (the "Buyer"); and

Conversion Solutions, Inc., a Delaware corporation and a holding company (the "Company").

BACKGROUND STATEMENT

The Buyer and the Company desire to effect a merger pursuant to which the Company will merge into the Buyer, with the Buyer being the surviving corporation (the "Merger"). In consideration of the Merger, the shareholders of the Company will receive shares of common stock of the Buyer. It is intended that the Merger qualifies as a tax-free reorganization under Section 368 of the Internal Revenue Code of 1986, as amended.

I bet we get the pr for the contract for the 1.5 billion $$ in amazon logs soon, I bet this merger depended on that happening.
at M N 1 conference, mike alexander said he was doing business with a co. that could get 100 mil in financing, and that company is practically a household name (CVSU) ??
this is better than anything I have ever seen.
