Justplayin,

Been charting stocks with a value of $1.00 to $3.00. Use Ameritrade and Advanced Analyser. When interested in a stock I have been researching their history for the past three years. Within this range over the past year I put money into NT, LU, SIRI, XYBR, WAVX and IPIX (local company). I usually buy at a good price but have sold too early at times. Have learned any profit is a good day...but...patience is fleeting..

I got greedy and burned on MSO the day the verdict came out...I put in a sell order too late and the exchange shut down trading. Other than that I have done OK.

The Penny's are a different ball game and I'm in Kindergarden graduating into first grade. I think QBID 1M shares, was a good choice but am sweating IBIZ, 2M shares.
I guess I'm hoping one or the other makes a good run soon. That's it on my history and the tools I use.

Thanks for the info on learning about MM's. My New Year resolution...learn MM's ...No worries man....

now I'm just saying, so dont lose it, but Insider tip comes in here and hypes this stock saying he got a tip but cant say any more. then he doesnt post for the rest of the day. 3 pages have now been written up on this stock. what for? if you hold this for longer then a few hours you had better be prepared. maybe youll make some money but remember-its a sub-penny! anything can happen and probably will. is it doing anything?

Good point. He came in without any DD or info. Not the typical pumper. Maybe he has something or maybe he wanted to dump some shares.

There is not much DD except for the SEC filings and VERY limited news.

This is a gamble for little investment, nothing more!

i think-- but im just guessing -- that he is part of a group that posts on a few boards, this was mentioned earlier. that would make sense. they buy a few million shares, pump it , then sell after a tidy profit. you can bet they arent holding this any longer.

As best as I can tell from the SEC filings, there are 600 million floating around and I havn't been able to find the A/S. Hopefully the 10K due in early Jan. 05 will tell us more.

Item 3.02 Unregistered Sales of Equity Securities.

Not Applicable.

Item 3.03 Material Modification to Rights of Security Holders.

(a) Not Applicable.
(b) On October 21, 2004, Axia filed a Certificate of Amendment to the Certificate of Designation of its Series C Convertible Preferred Stock to restate the conversion basis for the Series C Convertible Preferred Stock to read as follows:

“Conversion Basis. Each share of Series C Preferred shall be convertible into 100 shares of the Company’s Common Stock. It is acknowledged that the Company effectuated a reverse stock split of its outstanding common stock on October 18, 2004 and that the Conversion Basis was adjusted to 0.10, pursuant to Section 4(D)(i) of this Certificate of Designation. It is intended that this Amendment shall supercede the reverse stock split adjustment and reset the Conversion Basis to 100.”

This modification results in the 5,000,000 shares of Series C Convertible Preferred Stock then outstanding to be convertible into 500,000,000 shares of Axia common stock, as opposed to 500,000 shares of Axia common stock. The 5,000,000 shares of Series C Convertible Preferred Stock were converted into 500,000,000 shares of Axia common stock on October 22, 2004.

The OS is different depending on where you look. I called the company but got a recording that if it was an emergency call this other number to get a crane technician. Hopefully everyone will be back on Monday.

Trying to take a nap? Read this history:

Axia was a holding company that operated in two primary areas of business: acquiring, leasing and selling real estate; and, providing financial consulting services. These businesses were disposed of in December of 2002 through a spin off. The Company has no current operations. The Company is currently a"shell" corporation that seeks to identify and complete a merger or acquisition with a private entity whose business presents an opportunity for Company shareholders. The Company's plan of operation for the coming year is to identify and acquire a favorable business opportunity. The Company does not plan to limit its options to any particular industry, but will evaluate each opportunity on its merits. HISTORICAL BUSINESS INFORMATION: The Company was originally incorporated as The Canton Corporation on July 10, 1984 in Ohio and in 1985 changed its name to The Canton Industrial Corporation. The Company changed its state of incorporation to Nevada on March 9, 1993. The Company changed its name from The Canton Industrial Corporation to CyberAmerica Corporation in June of 1996. The Company was in the manufacturing business and in 1988 Filed Chapter 11 of the United States Bankrupcty Code in the United States Bankruptcy Court. Current management did not obtain control of the Company untill 1992 and completed the Company's exit from bankruptcy in 1994. On July 11, 2001, the Company announced that its majority owned subsidiary, Kearns Development Corp., had recently filed a registration statement with the Securities and Exchange Commission that will cause the distribution of shares in Kearns Development to the Company's shareholders. A record date for the share dividend will be set once the Commission has declared the Kearns Development filing effective. The registration statement provides for the distribution to our shareholders of one share in Kearns Development for every share held in the Company. They expect to distribute approximately 5,180,810 shares of Kearns Development common stock as the first stage in a process designed to enhance shareholder value by giving each of the Company's shareholder a direct interest in what will become a new fully reporting publicly traded entity. On August 23, 2001, the Company filed with the Secretary of State for Nevada a "Certificate of Determination of the Rights and Preferences of Preferred Stock of Axia Group, Inc." This document sets forth and designates the rights and privileges of the Preferred Stock of the Company that are designated as Series A Preferred and authorized in the amount of 5,000,000 shares, out of the total number of 20,000,000 preferred shares authorized by the Company's Articles of Incorporation. On October 11, 2001, the Company announced that its board of directors has authorized a stock repurchase program of up to $100,000 over the next 12 months. On October 19, 2001, Wichita Development Corp. entered into a stock purchase agreement with the Company wherein Wichita Development agreed to purchase from the Company approximately 85.6 percent of the issued and outstanding shares of Kearns Development Corp., a Nevada corporation which owns real estate consisting of an office building located in Salt Lake County, Utah and an option to purchase an additional office building at the same location. Wichita made the acquisition as part of its ongoing business plan to increase ownership of commercial properties. On January 3, 2002, Wichita Development Corp. announced that its stock is now trading on the OTC Pink Sheets under the symbol "WHDV." Wichita was formerly a majority owned subsidiary of Kelly's Coffee Group Inc. and is presently a majority owned subsidiary of the Company. On January 4, 2002, Golden Opportunity Development Corporation, a majority owned subsidiary of the Company sold its sole asset, the General Lafayette Inn, a 134 unit Motel and restaurant, and four adjacent office/retail buildings, located at 427 Lafayette Street, Baton Rouge, Louisiana. On January 9, 2002 the Company announced that pursuant to its previously announced intention to purchase its own shares in the market, The Company has purchased to date a total of 73,085 shares at a total cost of $25,846.80. On February 15, 2002 Kelly's Coffee Group, Inc., announced that it has entered into an agreement with the Company, to acquire essentially all the assets and liabilities of the Company in exchange for two hundred fifty-five million one-hundred thousand (255,100,000) shares of Kelly's. The stock issuance to the Company will effectively transfer to the Company approximately 82% of the total shares issued and outstanding in Kelly's. On March 15, 2002 Kelly's changed its name to Nexia Holdings, Inc. Going forward Nexia Holdings, Inc. will be included in Axia Group, Inc.'s financial statements as a consolidated entity, but will continue to issue separate reports under the name Nexia Holdings, Inc. as required by SEC regulations. On October 16, 2002, Nexia Holdings Inc., a majority owned subsidiary of the Company, announced the terms of a Stock Purchase Agreement signed by its subsidiary, Torchmail Communications Inc. with the shareholders of Virtual Interviews Inc. The agreement provides for certain shareholders to acquire 2,811,900 shares of the common stock of Torchmail currently held by Hudson Consulting Group Inc. another subsidiary of Nexia, in exchange for a cash payment in the sum of $300,000 and the issuance of 9,384,543 shares of Torchmail common stock in exchange for 100% of the issued and outstanding shares of Virtual Interviews Inc. As of December 10, 2002 the Company divested itself of all interest in Hudson Consulting Group, Inc. and no longer has any active involvement in financial consulting. http://www.4lfs.com/clientpages/clients_external.asp?clientsid=16

I think I am getting a handle on it. OTCBB lists the OS as 145,570. that aint right. But if you then add the preferred common shares that were expanded to 500,000,000 common shares in November you get 5,145,570 shares OS. Now my head is spinning too.

lol. grynder.. still debating the shoes. nothing like a new pair of manolos ;-)

however, its rare that anything with this low-pps pans out to have possible growth. i missed the first big Q run, and my friends made bank.

imo, whether "insider" was real or a pumper, the fact that some of the best on this board pulled together and couldnt immediately- or even a day later- discredit this company and have continued accumulation... well, it bumps my odds of profit 60-40 in my favor.

so, i buy just a weeeeee bit more (couple mil) cuz just the slightest whisper of news and we move.

and there isnt too far to fall either, so it's worth the risk.

~BB

ts eliot: only those who risk going to far can possibly find out how far one can go...
